About The Mizuho Legal Department: The Mizuho Legal Department provides transactional, regulatory and advisory legal support for a wide array of Mizuho Americas business lines including, but not limited to, debt and equity capital markets, securitized products, corporate banking, structured finance, acquisition finance, project finance, equity and fixed income derivatives, including rates, FX and municipal finance, M&A advisory and trust & custody futures. In this role, you will be an integral part of the Legal team supporting the ABS, RMBS, CLO and Debt Private Placement business lines, with opportunities to become involved in multiple additional areas as needed. In addition to our specific legal team, you will work directly with personnel from other departments (trading/sales, market and credit risk, compliance, operations, finance and onboarding) regarding legal, credit or operational issues arising in the transaction documents and other related documentation or with respect to specific transaction terms. We are seeking candidates that are growth-minded, eager to take on new challenges and open to collaborating with diverse colleagues in pursuit of a common goal.POSITION SUMMARY:Senior Level legal counsel responsible for managing various legal risks across the Mizuho Americas group of companies.PRINICIPAL DUTIES:Provide legal support to Mizuho Bank Ltd., Mizuho Securities USA LLC and affiliated U.S. entities’ debt capital markets (DCM) and fixed income (FI) business lines, including the DCM ABS and Private Placement Desks and the FI CLO, Agency Mortgage, Non Agency Mortgage and Residential Mortgage Finance Desks with respect to transactional and regulatory matters, as well as other general legal matters.Review and negotiate (1) structured finance and warehouse documents/transactions including CLO and residential mortgage finance warehouse documents, (2) securitization documents/transactions (ABS, CLO, RMBS including Agency and Non Agency Mortgage transactions), and (3) Debt Private Placements. Draft engagement letters for these Desks. Advise the Business and Compliance with regard to new securitization related rules and regulations –e.g., Final SEC Rule 192 regarding conflicts of interest in securitization transactions.Support other Senior Attorney in charge of the Legal Team in providing legal services to the foregoing business lines and Desks.Respond to inquiries from business units and other departments (trading/sales, market and credit risk, compliance, operations, finance and onboarding) regarding legal, credit or operational issues arising in the transaction documents and other related documentation or with respect to specific transaction terms.Evaluate and Assess New Product Proposals for the foregoing business lines and attend various New Product/Underwriting/Transactional Committee meetings. Other duties as assigned such as assisting with review of new equity investments/strategic opportunities.QUALIFICATIONS:- Law degree from an accredited law school in the United States preferred
- 10+ years’ experience at major bank or law firm
- Member in good standing of the New York Bar
- Ability to learn new concepts quickly
- Understanding of financial markets
- Detail oriented and collaborative team player
- Ability to prioritize and manage multiple projects and deadlines simultaneously
- Capable of completing work independently
- Excellent communication, organizational and presentation skills

The expected base salary range is up to $325,000.00. Salary offers are based on a wide range of factors including relevant skills, training, experience, education, and, where applicable, certifications and licenses obtained. Market and organizational factors are also considered. In addition to salary and a generous employee benefits package, successful candidates are eligible to receive a discretionary bonus.
