The Transaction Counsel will provide legal support for Apollo’s Credit business, assisting with general credit-related legal matters and supporting transactional activities. With over $616bn in assets under management, Apollo’s Credit platform spans a wide range of investment strategies, requiring a highly skilled legal professional to navigate complex transactions, regulatory considerations, and fund-related matters. This role will work closely with, business leadership, portfolio managers, and infrastructure teams to ensure seamless execution of credit transactions and legal compliance across the platform.
Primary Responsibilities:
Support transactional activities across Apollo’s Credit business, assisting with deal structuring, execution, and documentation.
Drive legal processes related to new transactions, amendments and restructurings, collaborating with investment teams and key stakeholders.
Partner closely with Credit portfolio managers, deal teams, finance, operations and compliance teams to provide legal guidance on credit investments and strategies.
Oversee and liaise on the negotiation of prime brokerage agreements, ISDA documentation, and other trading-related contracts.
Oversee and manage secondees supporting the business, ensuring their effective utilization while continuously evaluating and refining their roles to enhance efficiency and alignment with business needs.
Address trade-related and fund administration questions, ensuring compliance with internal policies and regulatory requirements.
Assist in the development and administration of operational and legal processes to enhance efficiency and mitigate risk.
Provide legal support for adjacent Apollo strategies including broker/dealer, hybrid, international and fund formation.
Qualifications & Experience
Juris Doctorate from an accredited law school; member in good standing with the New York State Bar Association.
4-6+ years of legal experience in M&A, private investment funds, or credit transactions at a top-tier law firm or within an in-house legal department of a registered investment advisor, hedge fund, or asset manager.
Strong transactional corporate finance experience required.
Familiarity with the Investment Advisers Act, Investment Company Act of 1940, and relevant securities laws (Securities Act of 1933, Securities Exchange Act of 1934).
Experience advising direct lenders, alternative asset managers, funds and work on restructuring transactions is a plus.
Exceptional communication and interpersonal skills, with the ability to build strong relationships across internal and external stakeholders.
Strategic thinker with strong business acumen, capable of balancing risk management with business objectives.
Ability to work independently and collaboratively within a fast-paced environment, prioritizing tasks and meeting deadlines effectively.
Proficiency in Microsoft Office Suite, including PowerPoint, Word and Excel.
Pay Range

The base salary range for this position is listed above. This position is also eligible for a discretionary annual bonus based on personal, team, and Firm performance. Compensation ranges are based on several factors including job function, level, and geographic location. Final offer amounts are determined by multiple factors including candidate experience and expertise, and may vary from the amounts listed here.
