Senior Paralegal – Office of the Corporate Secretary

DESCRIPTION:

This role offers an exciting opportunity to join Cigna’s Legal and Corporate Affairs department. The Sr. Paralegal will work with the Shared Services Team for Legal & Corporate Affairs, supporting the Office of the Corporate Secretary (OCS). The primary responsibilities include entity management, drafting and obtaining board/shareholder consents, and providing governance advice for subsidiaries. The Sr. Paralegal will interface directly with directors and officers of subsidiary boards, key business partners, including Treasury, Regulatory and Compliance teams and provide support to attorneys and other paralegals as needed.

ESSENTIAL FUNCTIONS:

  • Maintain corporate records and prepare reports for a specific portfolio of The Cigna Group’s subsidiaries
  • Assist with the preparation of filings required for corporate formations, withdrawals, dissolutions, mergers and acquisitions.
  • Draft resolutions, written consents, secretary/officer certificates and similar documentation.
  • Monitor and ensure compliance with legal and governance requirements.
  • Coordinate with internal stakeholders and external service providers, such as registered agents and auditors.
  • Work with OCS team to identify and implement best practices regarding subsidiary governance.
  • Handle special projects or additional responsibilities as assigned.

QUALIFICATIONS:

  • Bachelor's degree and paralegal certificate from an ABA-approved program preferred
  • 5+ years of experience in corporate governance, preferably in a corporate legal department.
  • Strong understanding of corporate governance principles, subsidiary management, and best practices.
  • Excellent written and verbal communication skills.
  • Ability to work under tight deadlines, carry out multiple related activities simultaneously, proactively identify issues and provide strategic advice.
  • Ability to efficiently and effectively manage complex and high-profile issues and competing priorities.
  • Strong organizational skills and attention to detail.
  • Proficiency in Microsoft Office Suites.
  • Experience using BoardVantage and/or Diligent is a plus.
  • This is a Hybrid role and requires someone to be in the office 3 days a week.

If you will be working at home occasionally or permanently, the internet connection must be obtained through a cable broadband or fiber optic internet service provider with speeds of at least 10Mbps download/5Mbps upload.For this position, we anticipate offering an hourly rate of 37 - 62 USD / hourly, depending on relevant factors, including experience and geographic location.

This role is also anticipated to be eligible to participate in an annual bonus plan.
