Corporate Counsel

COMPANY OVERVIEW 

Redwood Beverages owns and manages wholesale beverage distributors in Florida, Kentucky, Ohio and Texas, which sell and distribute premium beer, wine, spirits, non-alcoholic beverages to your favorite stores, venues and restaurants. 

JOB SUMMARY 

As a full-time corporate attorney at Redwood Beverages, you will work under the direction of the General Counsel and will be responsible for supporting the business operations of the beverage companies managed by Redwood Beverages, including Pepin Distributing Company in Tampa, Florida. General duties will include drafting and negotiating a variety of commercial contracts, managing litigation, and advising on regulatory and other issues.

ESSENTIAL DUTIES AND RESPONSIBILITIES 

Contract Management

• Review, draft, and maintain supplier and vendor contracts.

Compliance and Risk Management

• Maintain knowledge and monitor changes of key regulatory laws and employment laws.
• Identify key areas of risk with risk mitigation plans in alignment with the Company’s company objectives in compliance with federal, state, local laws and regulations and company policies.
• Ensure proactive updates to policies, training, and risk controls 
• Oversee licensing, regulatory compliance, and reporting requirements.
• Manage insurance claims and pre-litigation matters.
• Respond to trade practice inquiries and other compliance questions.
• Conduct compliance training.

Litigation

• Respond to legal notices, subpoenas, and other requests for information.
• Manage, oversee, and develop strategy on litigation matters involving the Company.

Advice and Counsel

• Advise on legal developments impacting the business.
• Act as a trusted advisor and business partner to senior leadership.
• Provide counsel to sales, marketing, operations, HR and other functions as necessary.
• Perform other legal duties as required.

QUALIFICATIONS AND REQUIREMENTS 

• Law Degree from an accredited ABA-accredited law school.
• Admitted, in good standing, to the Florida Bar (or other state bar).
• Preferred 5 to 7 years of relevant experience.
• Excellent verbal, written and presentation communication skills.
• Excellent interpersonal, negotiation, and conflict resolution skills.
• Strong analytical and problem-solving skills.
• Strong negotiation skills.
• Ability to translate complex legal issues into practical business guidance.
• Ability to clearly, concisely, and comprehensively draft complex concepts and provisions into contracts.
• Efficiently manage a variety of legal matters while balancing appropriate legal and business risks.
• Ability to collaborate cross-functionally (sales, marketing, IT, HR, finance, warehouse etc.) to achieve business objectives.
• Proven ability to draft clear policies, processes, procedures.
• Excellent organizational skills and attention to detail.
• Conduct all activities with integrity, professionalism, and confidentiality.
