Primary Responsibilities
Review, draft, negotiate and close a broad range of technology agreements, such as software licensing, SaaS, professional services and including intellectual property focused transactions involving patent, trademark, copyright, content and data licensing arrangements.
Advise on a broad range of transactional and intellectual property matters including those concerning patents, trademarks, copyrights, and trade secrets. Conduct and advise on patentability assessments, trademark searches and clearance, copyrightable content and data usage reviews. Advise on patent and trademark prosecution in support of in-house intellectual property program.
Provide strategic and pragmatic advice and support on the legal and regulatory requirements of technology implementation and usage.
Collaborate closely with the rest of the Technology & Data legal team to design, modify and implement company policies and processes to ensure legal compliance with internal policies, as well as applicable laws and regulations, including intellectual property law and others.
Basic Qualifications
> Admitted to the relevant bar (or equivalent in-house license)
> 3-7 years of relevant legal experience in technology transactions including some level of intellectual property experience.
Preferred Qualifications
> Transactional/contract negotiation, intellectual property and cyber and privacy experience
> Data licensing experience
> In-house legal experience
> Financial services or similar regulated industry experience
> Ability to show sound judgement even in ambiguous situations
> Ability to work independently while being able to contribute to cross-functional teams
> Excellent organizational skills, ability to manage multiple projects at once, consistent follow-through.
> Strong written and oral communication skills

Expected base pay rates for the role will be between $110,000.00 and $190,000.00 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
