Arconic is currently in search of Associate Counsel, Commercial to join the team in Alcoa, TN or Pittsburgh, PA.

Under the oversight of a more senior level attorney, the Associate Counsel, Commercial will have principle responsibility for providing commercial advice, negotiation support, agreements and procedures drafting support, dispute support and training to the Company’s procurement professionals. Associate counsel will also support more senior level attorneys in drafting and negotiating more significant commercial agreements for the Company’s businesses and resource units.



Responsibilities

Major Activities / Key Challenges

  • Manage the routing procedure for the review of procurement contracts
  • Draft, edit and negotiate various procurement contracts and other documents
  • Providing commercial advice and dispute support to procurement professionals
  • Support the drafting and revision of contracting procedures
  • Counsel and conduct Preventive Law training for procurement professionals on procurement terms and conditions and other areas as requested
  • Coordinate as necessary with other attorneys in the foregoing efforts
  • Support more senior level attorneys by:
    • Developing a wide variety of general commercial counseling skills to accomplish business objectives while managing legal risk and cost, including the ability to identify and analyze issues in areas such as government contracts, trade compliance and intellectual property
    • Drafting and negotiating other commercial agreements for the Company’s businesses and resource units
    • Developing and delivering preventive law materials and training
    • Working on all aspects of a merger, acquisition, or disposition transaction, including but not limited to data room due diligence, competition filings, and drafting associated agreements
    • Support other practice areas, including for example real estate and environmental compliance

Qualifications

Basic Qualifications

  • Law degree (JD) from a law school accredited by the American Bar Association (ABA) and is currently a member in good standing of the bar of a State, a Territory of the United States, or the District of Columbia.
  • Minimum 5 years’ experience as a practicing lawyer working for a law firm or corporate legal department.
  • Employees must be legally authorized to work in the United States. Verification of employment eligibility will be required at the time of hire. Visa sponsorship is not available for this position.
  • Must be a U.S. person under the International Traffic in Arms Regulations and legally authorized to work in the United States.  Verification of employment eligibility will be required at the time of hire.  Visa sponsorship is not available for this position.
