KEY ACCOUNTABILITIES INCLUDE:
- Partner with the corporate development team and other cross-functional groups, including Finance, Tax, Business, and HR as the legal lead, working directly with the General Counsel, providing keen attention to detail in all matters regarding on strategic transactions (acquisition, partnership, divestiture, and investment) throughout all stages, including NDAs, deal structuring, term sheets and LOIs, due diligence, drafting and negotiation of definitive agreements, signing/closing and post-deal integration (including on-going compliance matters).
- Develop and maintain relationships with potential targets from initial stage to deal closing.
- Support and facilitate negotiations of transaction terms and legal documentation.
- Create investment proposals, along with supporting analysis and findings, for review by Executive Management team
- Draft and help prepare M&A related board and committee meeting materials.
- Assist with various Compliance department initiatives and support various global locations to ensure the organization remains compliant with applicable regulations.
- Coordinate and support integration planning, tracking and processes for new acquisitions. Drive continuous improvements, scalability and operational excellence in deal processes and execution.
- Provide continuing counsel on Company compliance and legal matters, and liaise with internal staff to define and develop Company policies, procedures and programs as well as ensure the Company conducts its business in compliance with applicable laws and regulations.
- Assist with Legal Department oversight and support to Human Resources department including drafting Employment Agreements, Releases, as well as reviewing staffing and placement agency agreements.
- Judge the merits of major court cases filed against or on behalf of the Company, work with appropriate parties to define a strategy. Work collaboratively and responsively with a broad range of colleagues and stakeholders and develop trusted relationships to facilitate a coordinated team approach. Keep the team informed of progress, drawing issues to their attention and discussing conclusions with them.
- Manage and partner with outside counsel, as needed.
- May aid in the drafting and review of a wide variety of complex commercial contracts.
- Stay abreast of current financial and operational issues impacting the company and divisional performance.
- Support special projects, including intercompany agreements.
- Support the General Counsel, V.P. with other matters as assigned.

EDUCATION & EXPERIENCE:
Minimum:
- J.D. from an ABA accredited law school (or foreign equivalent).
- Licensed US attorney with membership in at least 1 state bar (preferably IL), with good standing.
- 10+ years of law firm and/or in-house with experience focused on M&A and general corporate matters.
Preferred:
- Experience with logistics companies preferred.
