Our expansion has created a need to add a talented Paralegal to our small but mighty legal team!

What you'll do: 

  • Coordinate Board and Committee meetings, including preparation of meeting agendas, materials, resolutions, minutes, and tracking of governance calendars. 
  • Lead the project management for our annual proxy season and shareholder meeting process, including proxy statement preparation project planning, preparation and distribution D&O questionnaires, annual board, committee, and director self-assessments, and coordination of meeting logistics, and agendas. 
  • Manage various subsidiary matters, which may include formations, dissolutions, drafting of governing documents, and state/jurisdictional filings. 
  • Oversee officer and director onboarding and off-boarding under the supervision for the Chief Legal Officer.
  • Assist with document production for SOX compliance, internal audits, and other special projects. 
  • Provide information and organize detailed records for SEC filings, including the Proxy Statement and Forms 10-K and 10-Q. 
  • Support M&A, financings, and other strategic transactions, including managing or conducting due diligence, maintaining any electronic data room process, reviewing or preparing disclosure schedules, preparing resolutions and related transaction documents, executing on closing checklists and closing mechanics, and supporting post-closing integration and other items. 
  • Support key management committees and initiatives, including ESG Committee, Disclosure Committee. 
  • Help develop, implement, and continually improve policies, processes, and procedures. 

What you'll need: 

  • 7+ years of paralegal experience supporting a publicly-traded company (working with newly public and/or small cap companies a plus). 
  • Experience interacting with and addressing the needs of the Board of Director and Committees of a public company.  
  • Experience managing SEC filings, especially with respect to annual meeting/proxy season process. 
  • Experience with corporate entity and subsidiary management.  
  • Experience with secure online Board portal software (specifically, Diligent Boards). 
  • Proficiency in Microsoft Office applications (including Word, PowerPoint, Excel), Microsoft Teams, DocuSign. 
  • Proactive focus/communication: Ability to identify key milestones and then develop and drive practical timelines that work backward from those milestones and include all relevant stakeholders.  
  • A passion for organization, process, and attention to detail. 
  • Ability to confidently reprioritize based on evolving needs or in response to new information. 
  • Ability and willingness to communicate effectively with clear, crisp messaging to relevant stakeholders.   
  • Highest commitment to ethics in handling of a company’s most sensitive and confidential information. 
  • Problem solver first attitude. Not all problems can be answered with a “yes” 
  • We emphasize flexibility and autonomy day-to-day, but this role will occasionally center around broader projects and priorities, which can include needs for support outside of “typical” hours. 
  • Adaptability and eagerness to learn new skills (and to teach your skills to other team members).
