Job Description

 

Position Summary

The Paralegal will support Zinpro’s General Counsel in various commercial and corporate legal matters, including corporate governance, business entity governance, recordkeeping, contract administration, and general legal analysis concerning strategic initiatives.  The Paralegal works with various Zinpro departments, including Product Development, Regulatory, Quality, Operations, and Human Resources. 


Essential Functions

  • Assists with reviewing and revising various types of agreements in support of multiple functions and Zinpro’s products, including, Purchase Agreements, Vendor & Service Contracts, Non-Disclosure Agreements, Statements of Work, Master Service Agreements, Licensing Agreements, and Quality Agreements
  • Assists in implementing changes to contracts to comply with legislation/regulations
  • Drafts, files, and manages various business entity documents for corporations, LLCs, and partnerships with State agencies
  • Works cross-functionally with other internal teams (Operations, Regulatory, etc.) to track and assist with patent and legal updates on Zinpro’s portfolio of products
  • Facilitates and supports the Company’s contract management system and its Contracts policies and practices and advises internal clients
  • Supports ongoing compliance initiatives, including corrective actions, delivering training, and execution of other strategic initiatives
  • Assists with the development and implementation of Zinpro policies and procedures 
  • Other various duties as needed

Qualifications

Minimum Required:

  • Minimum of 4 years of experience in a mix of a law firm or the legal function of a corporation 
  • Practical experience drafting and negotiating legal agreements
  • Knowledge of document review/hosting databases; Practical Law, Microsoft Word; Outlook; Excel; and PowerPoint
  • Excellent verbal and written communication skills
  • Excellent organizational skills and attention to detail
  • Ability to maintain confidentiality at all times, exercise discretion, and use good judgment
  • Superb time management skills with a proven ability to meet deadlines and seamlessly manage multiple tasks

Preferred:

  • Bachelor’s degree
  • Agriculture industry experience
  • Experience in litigation, transactional, regulatory and compliance work or a mix of those areas
  • Supervisory experience in a corporation, law firm or related setting
  • Paralegal certificate

Work Environment and Physical Requirements

  • Hybrid office environment, a combination of working in the office and remotely.
  • The work environment characteristics are those consistent with a standard office environment.   
  • Positions in this class typically require typing, talking, hearing, seeing, and repetitive motions.  
  • Sedentary Work: Exerting up to 10 pounds of force occasionally and/or a negligible amount of force frequently or constantly to lift, carry, push, pull, or otherwise move objects, including the human body.  Sedentary work involves sitting most of the time.  Jobs are sedentary if walking and standing are required only occasionally, and all other sedentary criteria are met.  

Schedule Requirements

This position is expected to work within core business hours and occasionally requires participation in after-hours work with domestic and international stakeholders.    

Travel Requirements

The position requires minimal travel; approximately 5-10% travel time.
