Position Overview:
The Deputy General Counsel will provide legal counsel and support to the organization on a wide range of legal matters and act in a generalist capacity. The Deputy General Counsel will also help manage and supervise day-to-day activities within the department. This role involves everything from advising on general corporate matters, drafting and negotiating commercial contracts, risk management, employment matters, and litigation. The Deputy General Counsel will work closely with various departments to ensure the organization operates within legal boundaries and mitigates risks.
We are a small legal department, so the ideal candidate is a self-driven, business-minded lawyer capable of taking ownership of a broad range of matters while being highly organized, having a meticulous attention to detail, and a demonstrable ability to produce quality work product in a fast-paced, high-volume environment. You must have a foundational knowledge of and interest in distributed ledger technology/blockchain.
What you’ll do:
- Interact with and provide legal advice and support to management and internal teams on a wide range of legal matters, including contracts, compliance, employment matters, and litigation.
- Draft, review, and negotiate various legal agreements and contracts, including token grant agreements, NDAs, marketing agreements, services agreements, and SAFTs and SAFEs.
- Provide legal support on corporate governance matters, including board resolutions and compliance.
- Conduct legal research and analysis and provide recommendations that the business can understand and implement.
- Develop and implement legal policies and procedures.
- Ensure company compliance with applicable laws, regulations, and internal policies.
- Operationalize legal workflows and contract management.
- Manage and oversee litigation and legal disputes when they arise.
- Collaborate with external legal counsel, as needed.
- Other duties as required or assigned.

Qualifications:
- A foundational knowledge of and interest in distributed ledger technology/blockchain.
- Juris Doctor (JD) degree from an accredited law school.
- Admission to a U.S. state bar and in good standing.
- Minimum of 9 years of experience practicing law, preferably with experience both in a legal department at a crypto-focused company and a law firm.
- In-depth experience negotiating, drafting, and interpreting commercial agreements, preferably in a high-volume, fast-paced environment.
- Experience negotiating token grant agreements, token liquidity arrangements, SAFTs and SAFEs, and similar agreements pertaining to digital assets.
- Excellent written and verbal skills.
- Strong communication and interpersonal skills.
- Ability to work both as part of a team and independently with minimal direction.
- Ability to take a pragmatic, business-oriented approach to problem solving in order to achieve business goals and objectives.

Pay Transparency Notice:
- The base annual salary for this position ranges from $225,000 - $285,000. Pay is based on several factors including geography, skills and abilities, education, relevant experience, and other relevant factors.

Salary- $225,000 - $285,000
