Job Description

Job Summary – The Corporate Paralegal will support attorneys, manage processes and systems, and collaborate with other members of the Churchill Downs Incorporated team on various legal and regulatory issues.

Key Responsibilities May Include –

  • Working closely with and supporting attorneys.
  • Managing the contract management system and contract approval process.
  • Assisting with engagement of outside counsel and manage billing process.
  • Receiving and processing service for new lawsuits and other disputes.
  • Preparing quarterly litigation and compliance reports.
  • Managing the litigation hold process and assisting with discovery.
  • Managing the subpoena and garnishment process.
  • Assisting with management of intellectual property portfolio.
  • Assisting with compliance projects related to consumer data privacy requirements.
  • Collaborating with General Counsel and department attorneys to manage legal department budget by reviewing and processing legal invoices and expenses; reviewing monthly financial statements for accuracy and effect on annual budget; and assisting with the preparation of the legal budget and forecasts.
  • Overseeing insider filings under Section 16 of the Securities and Exchange Act and assists with other filings required by the SEC (i.e., Form 3s, Form 4s, S-8s, 8-Ks, Proxy Statement, etc.) and NASDAQ (notice of dividend, annual meeting certificate, if any).
  • Assisting with company transactions and related governance documentation, including consulting with outside counsel and internal teams.
  • Any other duties that arise in this dynamic and continuously growing company.


Skills/ Experience:

  • Bachelors degree required.
  • At least 7 years of paralegal experience.
  • Corporate and public company experience preferred.
  • Exceptional written and verbal communication skills.
  • Ability to act under tight deadlines and manage multiple projects within a diverse portfolio of initiatives.
  • Proven ability to effectively communicate with diverse groups at all levels – customers, shareholders, investors, regulators, employees.
  • Experience with Microsoft Purview, Agiloft and Legal Tracker preferred.

 

Essential: The applicant must be eligible to work in the United States and work in the office in Louisville, KY.
