Superior is currently seeking an Associate General Counsel - M&A to join our team in Houston, TX (Downtown) (On-Site 5 days).

Duties and Responsibilities:

  • Lead and oversee all legal aspects of M&A transactions, including drafting, negotiating, and reviewing transaction documents.
  • Manage and coordinate legal due diligence processes to identify risks and opportunities.
  • Provide strategic legal advice to senior leadership and cross-functional teams on M&A matters.
  • Collaborate with external legal counsel, as necessary, to ensure seamless execution of transactions.
  • Develop and implement strategies to mitigate risks and ensure compliance with applicable laws and regulations.
  • Manage and coordinate legal due diligence processes to identify risks and opportunities.
  • Stay informed on industry trends, legal developments, and regulatory changes impacting M&A activities.
  • Support the integration process for newly acquired entities, ensuring legal compliance and effective transition 

Minimum Requirements 

  • A minimum of 10 years relevant law experience - M&A, corporate, banking or related areas.
  • A combination of law firm and in-house experience strongly preferred.
  • A license in good standing to practice law in a U.S. jurisdiction with the ability to obtain a law license or limited in-house counsel license in Texas.
  • Strong expertise in drafting and negotiating complex transaction agreements.
  • Excellent communication and interpersonal skills.
  • A positive attitude, high energy, desire to grow with the business and help maximize opportunities.
  • Proven track record of managing multiple transactions simultaneously in a fast-paced environment.
  • A strong sense of ownership and dedication to personal excellence and improvement.

Education

A Juris Doctor (J.D.) degree from an accredited law school
