Title: Corporate Paralegal
Location: Atlanta, GA (hybrid – 4 days/week onsite)
Position Summary
The Corporate Paralegal works with a dynamic and collegial team of attorneys and paralegals in a supportive environment focused on teamwork, performance and responsibility. The Corporate Paralegal provides support for matters relating to the Board of Directors, SEC and NYSE compliance and disclosure obligations, corporate governance and related matters to be assigned from time to time.
Key Areas of Responsibility:
Support NYSE filings and compliance
Support preparation of Proxy Statement
Assist with preparation of other year-end documents (including Annual Report on Form 10-K and D&O questionnaires) and annual stockholder meeting process
Assist with preparation and distribution of Board and Committee materials
Support document filing policies
Assist team with outside counsel matter management administration
Assist team with quarterly certification process
Provide support to subsidiary management governance team
Assist in other special projects as assigned by department attorneys or senior paralegals
Maintain corporate records with respect to public company filings and general record-keeping
Support process for event-driven securities documentation, including Form 8-Ks, Forms 3, 4 & 5 and documents prepared in connection with Rule 144 sales, as well as annual and quarterly reports
Basic Qualifications:
Bachelor’s Degree
5+ years of experience in a law firm or in-house at a public company as a corporate paralegal
High proficiency in Microsoft Word, PowerPoint and Excel
Is able to work independently and manage multiple ongoing projects in a fast-paced, dynamic environment
Has strong organizational skills and is detail-oriented
Has excellent written and oral communication skills, with ability to think outside the box and make complex challenges appear simple
Has the ability to instill confidence and interact with colleagues at all levels in a positive and professional matter aligned with NCR Atleos’ culture
Demonstrates strong judgment as to priority of matters
Must have the highest level of integrity and business ethics
