The Position:
Seeking a top performing lawyer specializing in registered investment funds, ideally with experience in REITs and business development companies (BDCs). This role is focused on regulatory compliance, fund formation, and oversight of registered fund activities, including expertise in the Investment Company Act of 1940 and relevant securities laws.
Responsibilities:
The ideal candidate will have a JD degree from a top tier institution and at least 5 years of relevant experience in the following areas:
- Registered REITs, particularly under the Investment Company Act of 1940;
- Registered closed-end investment companies;
- Business development companies (BDCs);
- Compliance with the Securities Act of 1933 and Securities Exchange Act of 1934;
- Legal oversight of fund formation, regulatory filings, and operational compliance;
- Contract and entity management for registered investment vehicles;
- Institutional risk mitigation and securities law implications for investment funds;
- Advising on regulatory developments impacting registered funds and REITs;
- Special projects related to the firm’s fund strategies and structuring.
Preferred Experience:
- In-depth knowledge of the Investment Company Act of 1940, particularly as it applies to registered REITs and other closed-end funds;
- Strong understanding of legislative and regulatory changes impacting the firm’s contracts and investment vehicles, with experience in contract negotiation and regulatory compliance.

The anticipated base salary range for this position is $200,000 - $300,000 plus an annual discretionary performance-based bonus. Actual pay may be adjusted based on experience and performance.
