Position Summary

Flournoy Health Systems (FHS) is seeking a dynamic and strategic General Counsel to serve as the organization’s chief legal officer and a key member of the Executive Leadership Team. This role will provide enterprise-wide legal guidance and risk mitigation across a diverse portfolio of healthcare entities including home care, pediatric services, ABA therapy, hospice, and real estate. The ideal candidate is a hands-on legal strategist with cross-functional fluency in healthcare compliance, labor and employment law, contract negotiation, and governance.

The General Counsel will serve as a partner to Compliance, HR, Finance, and dedicated outside counsel, creating a proactive, preventative, and policy-driven legal framework that strengthens internal governance, supports operational efficiency, and enhances regulatory preparedness. This role will also serve as the Legal Compliance Manager and serve on the Quality Assurance Committee to reinforce accountability and performance across the organization.

 

Key Responsibilities Executive Leadership & Legal Strategy
  • With dedicated outside counsel, serve as the principal legal advisor to the CEO, executive leadership, and the Board.
     
  • Participate in strategic decision-making and long-term planning, and oversee dedicated outside counsel’s execution of mergers, acquisitions, and other transactions.
     
  • Translate business objectives into actionable legal strategies.
  • Align legal operations with business goals across all service lines.

 

Corporate Governance & Board Support
  • Serve as Corporate Secretary; oversee bylaws, board resolutions, and compliance with governance procedures.
     
  • Maintain documentation and support legal requirements for Board and Committee activities.
Regulatory Compliance & Risk Management
  • Lead compliance, interpretation and implementation of federal and state regulations (HIPAA, CMS, DCH, OSHA, FTC, Medicare, Medicaid, etc.).
     
  • Manage risk assessments and mitigation plans across the enterprise.
     
  • Oversee credentialing, privileging, and audit-related activities.
  • Partner with Compliance to support audits and regulatory reviews with real-time legal guidance.

 

Contracting & Transactional Support
  • Perform contract review, including vendor, employment, BPO, real estate, and service agreements.
     
  • Oversee dedicated outside legal counsel’s performance of lease negotiations, M&A documentation, and partnership agreements.
  • Lead efforts to institutionalize a consistent policy governance framework.
     
Labor & Employment Counsel
 
  • Support escalated investigations, reorganizations, employment agreements, and dispute resolution.
     
  • Provide guidance on policies, non-competes, NDAs, and severance.
  • Partner with HR to develop policies and procedures that align with labor laws and organizational values.

 


 

Litigation Management
  • Serve as primary liaison with dedicated outside counsel for litigation, mediation, settlements, and legal proceedings.
     
  • When appropriate, represent the company with dedicated outside counsel for negotiations, mediations, and legal proceedings.
  • Develop protocols for early intervention and legal issue escalation.


 

Operational & Administrative Counsel
  • Advise on business operations, entity structuring, insurance regulations, and franchise or FTC compliance.
     
  • Support corporate compliance and internal audit reviews, providing proactive legal input on policies.
     
Team Leadership
  • Build, lead, and manage internal legal functions and assist with the management of external counsel relationships.
     
  • Educate leadership on legal developments, contract management, and regulatory changes.
     
Qualifications Education & Licensure
  • Juris Doctor (JD) from an accredited law school.
     
  • Active membership in good standing with the State Bar of Georgia (via regular membership or compliance with State Bar of Georgia requirements for eligibility to serve as in-house counsel for a Georgia corporation).
     
Experience
  • 10+ years of progressive legal experience, including:
     
    • Healthcare law (required)
       
    • Employment law, contracts, and litigation management
       
    • Corporate governance and regulatory compliance
       
    • Experience within a healthcare system, multi-entity holding company, or nonprofit structure strongly preferred
       
    • At least 5 years in a General Counsel or equivalent senior legal role

 

Preferred Qualifications
  • Experience with captive insurance and provider licensing compliance.
     
  • Familiarity with clinical operations and home healthcare regulations.
     
  • Background in scaling legal functions during organizational growth.
     
  • Ability to communicate complex legal issues in a clear, business-oriented manner.
