This position provides legal support and counsel to assist Kern River Gas Transmission Company (Kern River) business units to accomplish their objectives consistent with existing laws, regulations and agreements. The senior attorney handles complex and diverse legal matters and projects requiring innovation, experience and judgment; exercises leadership skills; performs complex technical tasks and/or leads teams in projects of major scope, importance and/or unusual complexity; makes un-reviewed decisions regularly; and serves as advisor and mentor.
Responsibilities
Drafts, interprets and provides timely advice on various legal documents including asset purchase and sale agreements, transportation and facility agreements, construction contracts, compliance reports and audits and other contracts related to the operation of a major interstate pipeline system. Provides legal counsel and support for any Kern River departments as needed. Communicates with and represents Kern River's interests before the Department of Transportation, OSHA, Federal Energy Regulatory Commission, and federal and state agencies. Assists in supporting changes to federal, state or local laws as required. Develops and maintains a keen understanding of the political implications of Kern River's actions. Represents Kern River's interests in disputes and litigation. Obtains limited senior legal staff guidance in order to direct outside counsel to achieve the company's objectives in a professional, timely and cost effective manner. May be asked to represent Kern River before courts or administrative bodies on executive matters. Supports assigned clients by drafting, reviewing and providing counsel on licenses, agreements and professional service agreements. With limited direction by senior legal staff, designs, develops and implements compliance and preventive law programs to assure company compliance with laws and regulations. Develops and provides recommendations to establish legal policies or guidelines in areas of expertise to ensure that the company consistently maintains the highest possible legal standards. Provides legal input to assist in development of project planning. Performs additional responsibilities as requested or assigned.
Qualifications
Law degree from an accredited law school. Licensed to practice law in Utah or be licensed in another state and licensed in Utah within one year after the start date. Ten or more years of related legal experience. Thorough understanding of the laws in area of expertise and proficiency in its interpretation and application. Legal experience in support of gas or oil pipeline operation matters, rights-of-way, contracting for goods and services, asset acquisition or disposition and regulatory support (OSHA, DOT, FERC, PUC, EPA, etc.). High degree of proficiency in the use and application of computer programs, including spreadsheet, word processing, e-mail and PowerPoint. Ability to develop a consensus among differing management viewpoints and interact effectively with all levels of company management, competitors, customers, public officials and governmental agencies. Highly effective oral and written communication skills. Highly effective analytical, problem-solving and decision-making skills. Ability to handle critical time constraints, priorities and deadlines. Must be available outside of normal working hours. Ability to handle heavy workload, multiple project responsibilities and continually changing priorities. Periodic travel for projects, hearings, litigation, negotiations, etc. Must support Kern River's employee policies and procedures, including workplace safety rules.
