POSITION SUMMARY

The Transactional Paralegal is responsible for supporting multiple attorneys in the Firm and is expected to have a high degree of responsibility for project management and implementation.

Essential Functions Statement(s)

  • Prepare and file a variety of documents for domestic and foreign entities with the Oklahoma Secretary of State, the Delaware Secretary of State or applicable governmental agency of other States, including documents for the purpose of entity formation, conversions, mergers, qualifications to do business, and annual reports.
  • Draft, file, and manage UCC financing statements and related filings nationwide.
  • Prepare and submit applications to obtain Employer Identification Numbers (EINs) from the Internal Revenue Service (IRS).
  • Coordinate and obtain Apostilles and authentication certificates at the state and federal levels.
  • Support attorneys in preparing and filing SEC documents via EDGAR, including Form ID, Form D, Schedules 13D/G, and Form 24F-2.
  • Draft, review, edit, proofread, and file a wide variety of legal documents with accuracy and attention to detail.
  • Order certified copies of corporate documents and certificates of good standing from state agencies across the U.S.
  • Support attorneys in transaction closings by managing closing checklists, obtaining signatures, and finalizing closing documents.
  • Communicate with representatives of state and federal agencies such as the Secretary of State and IRS.

SKILLS & ABILITIES

Education: Associate’s degree in paralegal or legal studies or other related discipline is preferred. An equivalent combination of education and experience is required.

Experience: Minimum of 3 years of legal experience required, and 4+ years in legal experience preferred. 

Computer Skills: Skilled with MS Office Suite and other office products. 

Certificates & Licenses: Paralegal certification from ABA-approves program is preferred.

Other Requirements: Excellent problem-solving skills and willingness to conduct research to learn new tasks. Strong organizational skills to maintain work lists, organize documents, and monitor deadlines and filings. Ability to ask questions, clarify issues, and provide project updates as needed. Excellent written and oral communication skills (comprehension & expression). Strong command of the English language, including excellent spelling, grammar, punctuation, form and style. Detail-oriented and ability to create, compose, proof and edit correspondence. Possess sense of initiative and responsibility to manage case load and maintain confidentiality of records and information. Ability to work in a fast paced, high-pressured environment and maintain case/trial deadlines. 

 

WORK ENVIRONMENT

Work environment is in a professional office setting. The majority of activity this role performs will be sedentary work.
