We are looking for a seasoned, business-oriented Vice President, Associate General Counsel – Corporate to help lead the next phase of our growth. This role will focus on SEC compliance, corporate governance, capital markets/financings, equity compensation, and strategic legal support across the enterprise.
Role Overview
As VP, Associate General Counsel – Corporate, you will serve as a key legal advisor on a wide range of corporate matters. Reporting to our Chief Legal Officer, you will oversee Sabre’s SEC compliance program, lead its corporate governance efforts, partner with executive leadership and the Board of Directors, and provide strategic legal support for our equity programs and corporate transactions. This is a highly visible leadership role ideal for a proactive, tech-savvy attorney with securities law and other governance experience.
Key Responsibilities
SEC Compliance
- Be responsible for Sabre’s 1933 Act and 1934 Act filings (registration statements and reports), including Sabre’s annual, quarterly and current reports, proxy statements and Section 16 reports.
- Work closely with teams throughout Sabre, including Accounting, Tax, Investor Relations, and the People team, in meeting reporting and disclosure requirements.
- Provide advice on applicable SEC regulations.
Corporate Governance
- Serve as legal lead for all corporate governance matters, including Board and committee operations, charters, and policies.
- Oversee global corporate secretarial functions and manage board and stockholder meeting logistics and documentation.
- Prepare for annual stockholder meetings and proxy statement preparation.
- Oversee legal entity management and intercompany governance.
Equity Compensation
- Advise on the design, implementation, and compliance aspects of equity plans and programs.
- Partner with the People team on employee grants, executive compensation disclosures, and stock plan administration.
Cross-Functional Leadership
- Work closely with finance, people ops, investor relations, and other teams on risk, compliance, and disclosure strategy.
- Provide legal training and thought leadership on governance and securities law compliance topics.
- Manage outside counsel relationships and optimize legal spend.
Preferred Education & Qualifications
- J.D. from an accredited law school and admission to at least one U.S. state bar.
- 10+ years of legal experience, with a mix of law firm and in-house roles—preferably in a technology or SaaS company.
- Deep knowledge of corporate governance, U.S. securities laws, and equity compensation structures.
- Experience working with or advising public company boards (or supporting pre-IPO readiness).
- Strong communicator and relationship builder with sound and commercial business judgment and high integrity.
Preferred Experience
- Experience in the travel or business tech industry is a plus
- Exposure to international corporate structures or global equity plans.
- Experience with capital markets transactions (debt and equity).
