Primary Responsibilities
Draft, review, and support negotiation of various types of complex agreements, including services, purchasing, distributor, sales representative, commercial and government clients, RFPs, nondisclosure, technology, and licensing (including SaaS and cloud based software).
Participate in reviewing, drafting and negotiating principal transaction agreements related to mergers and acquisitions (e.g., letters of intent, confidentiality agreements, asset purchase agreements, stock purchase agreements, consortium shareholder arrangements, joint ventures, and the like), including planning and assisting in due diligence, actively managing deal processes and execution and managing outside counsel.
Maintain proficiency in data privacy and data protection regulatory frameworks, both domestic and international.
Review and advice on proposed marketing and other external communications, including press releases, external presentations, white papers, remarks, and other materials.
Support governance efforts by ensuring proper documentation, adherence to bylaws, and compliance with all relevant corporate governance standards.
Provide legal advice and support on matters related to commercial transactions, intellectual property, data privacy, trade compliance and general legal compliance.
Advise on legal issues related to the company's products and services, including new product launches and enhancements.
Manage and resolve legal disputes, including contract disputes and regulatory compliance issues.
Lead and/or collaborate the development and implementation of company policies and procedures to ensure legal compliance and mitigate risks.
Provide training and guidance to employees on legal and compliance matters as needed.
Serve as a trusted advisor, counseling related to legal obligations and guiding business decisions within prudent risk levels.
Coordinate and communicate with cross functional teams and key contacts around the organization, including outside counsel.
Ability to multi-task and prioritize to meet deadlines effectively.
Proactively conceptualize and articulate pragmatic/creative legal and business solutions to complex legal and business challenges.
Work cross-functionally on projects and initiatives to promote continuous improvement of Legal service delivery within Mueller.
Interact directly and frequently with business leaders and provide excellent support on key business initiatives . Have the ability to build strong relationships and share Information openly to effectively collaborate with business leaders, other in-house attorneys and various stakeholders within the company.
Ability to proactively identify legal and regulatory issues effectively resolving sensitive issues with a sense of urgency and handling difficult situations efficiently and diplomatically.
Experience and Skills include
6+ years of combined experience in a corporate department and law firm.
Strong background in contract drafting and negotiation experience.
Ability to work on a wide range of mission-critical projects, under tight time constraints, with minimal supervision.
Ability to provide counsel, say no when warranted in a respectful and authoritative manner and suggest workable alternatives to meet the desired goals.
Ability to identify, explain and balance business and legal risks.
Detail-oriented, resourceful, adaptable, flexible, organized, discreet and cost-conscious problem solver who can remain calm and work under pressure.
Experience in manufacturing industries a plus.
