We are looking for a Corporate Paralegal to join our MGP team in St Louis, MO or Leawood, KS. The Paralegal will provide broad-based support in the administration and support of the company’s legal team, including legal operations (i.e., vendor and law firm management, project management, implementation and ongoing support for legal vendors), corporate governance/SEC matters, IP (primarily trademark) matters, contracts support, and more!
What will you do?
Legal Operations Support
- Ownership of contract management system (implementation, maintenance, and training/onboarding); implementation of legal e-billing software, support compliance tools, law firm engagement, billing support and subscription management; increase legal department efficiency.
Corporate Governance Support
- Prepare and file SEC filings (Forms 3, Forms 4, and others as needed); support the corporate secretarial function, including legal entity management, assisting with minutes, resolutions, written consents and meeting materials and maintaining corporate minute books; support Board of Director matters, proxy statement preparation, and annual meeting matters Intellectual property support: maintain MGP’s robust global trademark portfolio, communicate with internal stakeholders to gather and verify specimens of use, track deadlines, conduct legal research, assist with investigations into potential trademark infringements and unauthorized uses, draft initial versions of various documents (e.g., cease-and-desist letters), liaise with outside counsel.
Records Management
- Serve as primary administrator of corporate records, filing annual reports and other corporate documents for company and its subsidiaries, support corporate record retention policy.
Drafting Support
- Provide review and drafting support for routine legal documents, including confidentiality agreements, consulting agreements, templates and more.
Transaction Support
- Provide assistance with due diligence, document organization, and closings.
Litigation Support
- Assist with service of process intake, discovery and subpoena responses, including coordination with outside counsel, legal hold distribution, maintain litigation files.
Compliance and Training Support
- Support compliance initiatives, including insider trading compliance matters; create training materials and assist with training implementation.
What do you need to bring to the table?
- Paralegal Degree or Certification required; bachelor's degree preferred.
- 10+ years of relevant corporate paralegal experience with a law firm and/or in-house at a public company preferred.
- Proficiency and high aptitude with Microsoft programs and applications (Outlook, Word, Excel, PowerPoint, SharePoint, Teams), Adobe Acrobat, DocuSign, and contract management systems.
- Excellent written and oral communication skills. Must interact confidently and diplomatically with all levels of MGP’s organization. Must also be a good listener.
