JOB SUMMARY

The Paraglegal/Assistant Corporate Secretary to join our legal team. The successful candidate will support the Chief Legal Officer and Corporate Secretary in managing the company’s governance processes and assist with compliance, documentation, and regulatory matters related to our NASDAQ-listed status. This role will involve working closely with the Board of Directors, executive leadership, and other cross-functional teams to ensure that corporate governance and legal obligations are met. In addition, they will consult and support various corporate legal processes such as commercial service contracts, mergers and acquisitions, financial/securities offerings, compliance matters. This position requires a business- and solution-oriented mindset, and an innate client-service mentality. Good judgment and emotional maturity are key qualitative job requirements.

KEY RESPONSIBILITIES:

· Corporate Governance Support.

· Assist the Corporate Secretary in preparing and distributing Board and committee meeting materials, including agendas, resolutions, and minutes.

· Manage corporate records and maintain accurate governance documents, including bylaws, charters, policies, and corporate filings.

· Coordinate logistics for Board and committee meetings, including scheduling, meeting notices, and follow-up on action items.

· Assist in the preparation and filing of annual reports, proxies, and other regulatory documents required by the SEC and NASDAQ.

· Maintain director and officer (D&O) questionnaires and records.

2. Legal Compliance & Regulatory Filings:

  • Assist with the preparation and submission of SEC filings, such as Form 8-K, 10-Q, 10-K, Section 16 filings (Forms 3, 4, and 5), and annual proxy statements.
  • Ensure compliance with NASDAQ listing requirements and corporate governance best practices.
  • Research and monitor changes in regulations that affect corporate governance and SEC compliance.

3. Stockholder Relations:

  • Assist in managing stockholder communications and responses to stockholder inquiries.
  • Help facilitate the annual stockholder meeting, including drafting meeting materials, coordinating logistics, and managing voting processes.

4. Contract Management:

  • Support the legal team in drafting, reviewing, and maintaining corporate contracts and agreements.
  • Oversee contract tracking, renewals, and storage within the company’s contract management system.

5. General Legal Support:

  • Conduct legal research and assist with various legal matters, including corporate transactions and mergers and acquisitions.
  • Assist in the management of litigation matters, including handling correspondence, discovery, and case management.
  • Primary responsibility for management and governance of enCore’s subsidiary organizations including ensuring all required filings and regulatory deadlines are met.
  • Maintain corporate share registry.
  • Legal research and drafting of a wide range of memos, legal documents and other correspondence.
  • Correspond with clients and opposing counsel.
  • Keep up to date with laws and regulations relevant to the company.
  • Assist with necessary changes to contracts and corporate policies to remain compliant.
  • Must be able to maintain confidentiality. 
  • Other duties as assigned or required to meet business needs.
Requirements

 Education, Experience & Skill Requirements

  • Bachelor’s degree and experience as a Paralegal.
  • 5+ years of corporate law experience; capital markets, finance, or securities law experience, at a large law firm or publicly traded corporation.
  • Strong understanding of corporate governance, SEC reporting requirements, and NASDAQ listing rules.
  • Experience with board portal software (e.g. Boardvantage or Diligent)
  • Ability to work independently while being able to contribute successfully to cross-functional teams.
  • Demonstrated successful leadership and collaboration with colleagues.
  • Strong business judgment and ability to develop business solutions with effective presentation of business risks and anticipated outcomes.
  • Excellent writing, communication, strategic thinking, and decision-making skills.
  • Strong attention to detail.
  • Must be able to multi-task.
  • Proficient in Microsoft office, ex; EXCEL, Word, PowerPoint skills desired.
  • Must be well organized. 
  • Excellent people skills. 

Physical Requirements: 

Job duties performed primarily in an office environment using standard office equipment. Ability to remain in a stationary position for 50% of the time, lift or transport items up to 25lbs, walk short distances, bending, stooping, twisting, reaching above and/or below shoulder, handling/grasping documents.
