We are seeking a highly skilled and experienced Corporate Counsel to join our organization. The Corporate Counsel will be responsible for providing legal guidance and support on a wide range of corporate, transactional, and compliance matters. The ideal candidate will possess a deep understanding of corporate law, including contracts, governance, mergers and acquisitions (M&A), intellectual property, employment law, and regulatory compliance. This role requires a detail-oriented professional who can collaborate with internal teams and senior management while ensuring the company's legal and regulatory obligations are met.

 In this role you will get to:

  • Draft, review, and negotiate a variety of contracts, including customer agreements, vendor contracts, leases, and non-disclosure agreements.
  • Provide legal advice on corporate governance, compliance, and business operations.
  • Advise on M&A transactions, including due diligence, deal structuring, and integration.
  • Oversee and manage corporate policies, procedures, and internal legal audits.
  • Ensure compliance with applicable laws, regulations, and industry standards (e.g., securities laws, data privacy regulations, import/export, environmental laws).
  • Assist with risk management and help mitigate legal and business risks.
  • Collaborate with external legal counsel as needed on complex legal matters.
  • Advise senior management on legal matters and potential legal implications of corporate strategy.
  • Consult on intellectual property matters, including trademarks, patents, and licensing agreements.
  • Manage employment-related legal matters, such as employee relations, disputes, and compliance with labor laws.
  • Stay current on legal developments and industry trends that may impact the business.
  • Provide training and education to company employees on legal and compliance matters.

 

Job Requirements:

QUALIFICATIONS:

  • Juris Doctor (JD) degree from an accredited law school.
  • Minimum of 10 years of experience practicing corporate law, preferably in a corporate in-house setting.
  • Strong knowledge of contracts and negotiation strategy.  Working knowledge of corporate governance, M&A, intellectual property, employment law, and regulatory compliance.
  • Proven ability to work independently and manage multiple priorities in a fast-paced environment.
  • Exceptional written and verbal communication skills, with the ability to simplify complex legal concepts for non-legal professionals.
  • Strong negotiation and drafting skills, with a high level of attention to detail.
  • Ability to provide practical and business-oriented legal advice.
  • Experience managing external counsel and legal costs effectively.
  • Strong interpersonal skills and ability to work cross-functionally.

 


Salary
  • $205,000 - $125,000/year
