The Assistant General Counsel, Transactions & Finance will serve as a key legal advisor to the Company’s business segments on a wide range of matters, including acquisitions, dispositions, joint ventures, commercial & real estate transactions, restructurings, workouts, portfolio-level financings (lender and borrower side), leasing, and other asset management matters.

This is a significant role in a fast-paced, professional and collaborative organization. The ideal candidate will be comfortable interacting with senior management, handling complex issues that require seasoned legal judgment and sound business logic and working closely with colleagues to advance business priorities and achieve results. A commitment to excellence, attention to detail and enthusiasm for taking on new challenges are critical to success in the role.

Responsibilities:

The Assistant General Counsel, Transactions & Finance will provide legal advice and support across the Company’s business segments, including investments, seniors housing, healthcare, outpatient medical and research and the Company’s loan portfolio. Primary responsibilities include taking the lead on or supporting other members of the Legal Department in:

  • Advising on, structuring, drafting and negotiating a wide range of transactions, including:
    • Purchase, investment and disposition agreements
    • Leases, management agreements and similar arrangements
    • Joint venture and other partnership arrangements
    • Real estate development agreements and related supporting documents
    • Letters of intent and confidentiality arrangements
  • Advising on, structuring, drafting and negotiating portfolio-level debt financings, workouts and restructurings, both on the lender and borrower side
  • Providing day-to-day advice on a wide range of business matters, including operator/tenant requests and potential disputes

Qualifications:

  • 4-7 years of real estate transactional experience, including at a top tier law firm
  • J.D. with outstanding academic credentials; bar admission as required by the relevant jurisdiction
  • Excellent drafting, organization, analytical and communication skills
