We’re looking to recruit a US-based Senior Legal Counsel into the Veeam Legal team. The successful candidate will work in close partnership and provide support on a variety of legal matters, including intellectual property, commercial software licensing and SaaS. Significant expertise in cloud and services is essential. You will work directly with sales teams advising on high-value transactions, and you will be required to have strong interpersonal skills in order to manage internal teams and cross-functional support, and opposing counsel.
Job Details
- Drafting, reviewing, and negotiating of: (a) end user license agreements; (b) distributor; (c) aggregator; (d) pro-partner/reseller agreements; (e) BaaS/ SaaS agreements; and other legal documents related to licensing and/or distribution of Veeam’s software to the territory of NA.
- Drafting, reviewing, and negotiating agreements and other legal documents related to Veeam-partners (alliances) and (global system integrator) relations (not regarding licensing or distribution of the software).
- Manage contract forms, including periodic review and change processes.
- Provide legal advice on GDPR and data protection matters related to licensing or resale and distribution of the software and on BaaS/ SaaS transactions to the territory of NA & EMEA (working with the internal privacy team).
- Resolve legal issues and contract interpretation matters that arise in existing commercial relationships.
- Anticipate problems and initiate actions to ensure contractual issues are addressed efficiently.
- Develop and deliver trainings for employees and executives on a variety of subjects within counsel’s areas of responsibility, including on compliance matters, competition, the use of contract templates, risk management, procurement, and good contracting practices.
- Assist with legal support of efforts to expand business operations internationally.
- Provide business partners with thoughtful legal perspective and guidance, as well as risk assessment and mitigation strategies.
- Manage a central NA legal inbox responding to queries in a timely manner and be able to accurately direct non legal queries to the relevant department.
Additional Job Description
- Experience as an attorney with a mix of significant law firm and in-house experience focusing on general commercial contract negotiation and drafting (not litigation), and with a minimum of one-two years’ experience working as an in-house attorney at a technology company with experience in cloud and SaaS.
- Tactful with strong external and internal negotiation and conflict resolution skills.
- Experience in drafting and negotiating all aspects of software contracts, distribution agreements, and reseller agreements.
- Exercise meticulous attention to detail and an organized approach to quickly identify a problems and provide solutions.
- Ability to be creative and flexible but with a focus on business-oriented outcomes. Commercial acumen is essential.
- Highly developed written and oral communications skills, with the ability to clearly articulate recommendations and options about complex legal issues.
- Highly collaborative and able to organize and manage projects with multiple stakeholders.
- Demonstrate a strong willingness to learn.
