Are you looking to be the primary legal support for commercial teams? As the Commercial Counsel, you will own the drafting, negotiation, and execution of commercial agreements with customers, partners, distributors, and government agencies. Given our fast-paced industry and the small-size of our legal team, you'll also contribute in a variety of other legal areas, including product counseling, intellectual property, privacy, and compliance. Key Responsibilities:
- Draft, review, and negotiate a variety of commercial agreements, with a focus on technology and software licensing.
- Conduct legal analysis and risk assessments of customer and vendor relationships to mitigate potential risks.
- Collaborate with teams across sales, marketing, product, and engineering to ensure compliance with legal and regulatory requirements.
- Advise on privacy and data protection matters, including compliance with relevant laws and industry standards, and assist in the development of privacy policies.
- Implement a contract lifecycle management system to improve contract workflows and processes.
- Continuously improve workflows, deal processes, and contract execution to drive operational efficiency.
- Enhance templates, playbooks, and policies to expedite deals and refine product/service terms.
- Provide legal support in areas like intellectual property, product counseling, export regulations, and compliance.
Requirements:
- J.D. with an active license to practice law in at least one U.S. jurisdiction (preference for CA or CO).
- 6+ years of relevant legal experience, ideally at a large law firm or as in-house counsel at a technology startup.
- Strong expertise in software licensing and familiarity with key contract provisions such as data protection, IP, indemnification, and liability limitations.
- Experience advising clients on privacy and data protection matters.
- Quick learner with flexibility, intellectual curiosity, and adaptability in a dynamic legal environment, willing to take on new challenges beyond day-to-day responsibilities.
- A proactive team player with a proven ability to identify problems, lead projects, and provide pragmatic, creative legal solutions.
- Excellent negotiation, communication, and interpersonal skills, with the ability to collaborate effectively across cross-functional teams and communicate complex legal issues clearly to non-lawyers.
- Strong organizational and project management skills, with the ability to prioritize multiple tasks while maintaining high attention to detail.
- Ability to work independently, exercise sound judgment, and balance legal considerations with business objectives.
- Strong business acumen and the ability to turn legal advice into commercially viable solutions.
- This is a hybrid position with flexible in-office expectations (typically 1-2 days per week) and potential for occasional travel.

Bonus Points:
- Expertise in U.S. government contracting and research programs, including SBIR, OTA, and STTR.
- Software product counseling experience, including as to open-source software and artificial intelligence.
- Familiarity with contract lifecycle management systems and CRMs.
- Industry-specific knowledge in sectors such as automotive, healthcare, defense, and robotics.
- Familiarity with international law and contracting, particularly in Europe and the Asia-Pacific (APAC) regions.

The compensation range for this role is $150k - $175k a year in Denver, Colorado. The salary range displayed on this job posting reflects a minimum and maximum target. Individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Please note that this range reflects the base salary target range only, and does not include bonus, equity, or benefits.
