GreatAmerica’s Corporate Counsel will, along with other attorneys on GreatAmerica’s Legal Team, support the company in successfully executing its mission and vision by (i) counseling and advising the company’s leadership and business teams on a wide variety of transactions and business activities and issues, (ii) assisting the company in identifying and addressing an array of legal, compliance and risk issues, (iii) guiding and supporting the structuring of a wide variety of third party relationships, and (iv) reviewing and drafting documents around the above.
As a Corporate Counsel, you will:
- Analyzing and evaluating the legal and business implications of various aspects of GreatAmerica’s business activities, which may include but not be limited to negotiating, documenting and developing business relationships, addressing local, state and federal law applicable to GreatAmerica’s business activities, addressing risk exposures across a broad spectrum, and addressing issues coming up in a wide variety of legal areas including, e.g., insurance, secured transactions, regulation, etc.
- Providing service to company representatives on various aspects of GreatAmerica’s daily operations by reviewing, commenting on and editing contracts provided by third parties on a variety of issues, and drafting and modifying contracts generated internally; providing legal and business advice; attending and participating in meetings; educating others in the company, and engaging in other activities that support GreatAmerica’s operations.
- Assisting with developing and structuring new vendor/manufacturer programs designed to meet customers’ needs.
- Analyzing existing programs and recommending improvements to support business opportunities.
- Assisting with monitoring, interpreting and reporting on legal-related programs/issues and recommending appropriate action to ensure optimal company-wide performance.
- Researching and anticipating unique legal issues that could impact GreatAmerica and its customers.
- Identifying efficiencies and process improvements for the Legal Team.
- Doing all of the above in a collaborative, team-based environment.
- Perform additional duties as required.
- Attendance with minimal absences (per GreatAmerica’s attendance policy).
To be successful in this role you will need:
Education
- Juris Doctor required; active bar admission in any U.S. state required
Experience
- 3+ years of experience as a practicing attorney, preferably in a transactional practice. Financial or regulatory experience a plus.
Skills and Abilities
Computer Skills:
- Proficient in using the Microsoft Office Suite; experience with Salesforce a plus.
Other Requirements
- Must possess excellent analytical skills and critical thinking ability to address challenging legal and business issues arising in GreatAmerica’s business. Exemplary communication skills are required. Must possess sufficient physical and mental stamina to assist with issues as they arise. Must be able to exercise sound judgment and work independently and efficiently under time pressures and deadlines in a fast-paced environment with attention to detail. Position requires the ability to effectively organize and prioritize work while handling multiple matters. Position requires reading, writing and comprehension skills commensurate with a transaction intensive legal environment.
