The Assistant University Counsel position in the Office of University Counsel will report to the Associate University Counsel, Contracts and Real Estate Practice Group Leader. The attorney will be expected to provide legal advice on a wide range of legal matters impacting a metropolitan research institution of higher education, with a primary focus on assisting with contract matters in accordance with applicable federal and state laws and regulations.
Essential Duties and Responsibilities
Serves as a member of the Contracts and Real Estate and Research and Intellectual Property Practice Groups of the Office of University Counsel.
Ensures contractual matters are reviewed and processed in accordance with applicable federal and state laws and regulations, including but not limited to those of the Cabinet for Finance and Administration, the Kentucky Legislative Contract Review Committee, as well as applicable University policies including but not limited to the Office of University Counsel’s Contract Review and Approval and Signature Authority Policy.
At the direction of the Contracts and Real Estate Practice Group leader, drafts, reviews, and negotiates contracts between the University (and affiliated entities) and its vendors, suppliers, and service providers, as well as construction contracts, real estate transaction documents, gift agreements, academic memoranda of understanding, and other contracts involving the University (and affiliated entities).
At the direction of the Research and Intellectual Property Practice Group leader, drafts, reviews, and negotiates research contracts arising out of the Executive Vice President for Research and Innovation’s Office, including but not limited to those associated with grants/awards, the commercialization of intellectual property, clinical trials, data and material transfers, confidentiality and non-disclosure obligations, etc.
Assists on other legal matters, including those involving privacy, risk management, and campus-wide policies and procedures.
Preferred Qualifications
Experience in higher education, a state government entity, or other large non-profit organization preferred.

Compensation will be commensurate to candidate experience.
