
Staff Counsel candidates should have a JD and hold license to practice law in Washington, DC. Interested candidates should also have a minimum of 7-10 years of relevant legal experience as well as experience in non-profit governance, tax compliance and VEBA (voluntary employees’ beneficiary association). Proven experience negotiating complex contracts and strong knowledge of intellectual property, sponsorship agreements and licensing is also required.
Primary responsibilities include:
- Monitor and ensure adherence to federal, state, and local laws governing 501(c)(9) entities, including employment, tax, and operational regulations.
- Advise on developing and implementing internal policies and procedures to mitigate legal and reputational risks.
- Conduct regular assessments of the organization’s risk exposure and provide actionable recommendations.
- Draft, review, and negotiate contracts, including partnership agreements and vendor contracts.
- Serve as the primary liaison with external legal counsel and the NFLPA for complex matters or litigation.
- Supervise the development and dissemination of policies that will ensure that The Trust complies with the Collective Bargaining Agreement (CBA) and all laws, regulations, and rules that may apply to The Trust’s activities, specifically working to ensure compliance with corporate conduct, equal opportunity, HIPAA, and HITECH.
- As secretary, manage responsibilities related to the annual Board of Trustees meetings, including reviewing all audit materials and financials, preparing agendas and materials, and providing advice on critical business and legal matters.
- Manage intellectual property rights, including trademarks, copyrights, and licensing agreements for organizational branding.
- Oversee the editing and quality assurance of all critical written documents, ensuring clarity, accuracy, and adherence to organizational standards and style guidelines.
- Manage the annual legal budget and assist in developing and implementing the yearly operational budget, ensuring compliance with financial objectives.
- Collaborate with the Executive Director and Managing Director to align organizational goals with legal obligations.
