Our Legal team partners closely with the business to enable innovation, support growth, and manage risk in a dynamic, global environment.
We are seeking a Senior Corporate Counsel to join eBay’s Legal team. This role will report to our Director, Corporate & Securities and serve as a trusted advisor on core corporate matters. The ideal candidate brings deep expertise in public company legal work, strong business judgment, and the ability to independently lead complex initiatives while collaborating across functions.
What you will do
- Provide strategic legal advice on securities, corporate finance, and corporate governance matters
- Support and advise on SEC and NASDAQ compliance, including periodic reporting, disclosures, governance requirements, and related internal processes
- Support and advise on board and committee matters, including preparation of materials, resolutions, and governance documentation
- Support domestic and international subsidiary governance
- Support capital markets and financing activities, including equity and debt-related matters, as applicable
- Provide legal support from time to time for mergers, acquisitions, and other strategic transactions, including due diligence, transaction documentation, and post-closing integration support
- Partner with Finance, Investor Relations, Tax, Treasury, HR, and other cross-functional teams to deliver practical, business-oriented legal guidance
- Support equity compensation and stock administration matters, including reviewing Section 16 filings, employee 10b5-1 plans and questions relating to the company’s insider trading policy
- Identify legal, regulatory, and governance risks and develop mitigation strategies aligned with business objectives
- Manage outside counsel efficiently, including oversight of scope, cost, and quality
- Contribute to the continuous improvement of corporate legal processes, templates, and playbooks to support scale and efficiency
- Mentor and support junior legal team members as appropriate
What you bring
- Juris Doctor (JD) degree from an accredited law school and active membership in at least one U.S. state bar
- 5+ years of relevant legal experience, including experience at a top law firm and/or in-house at a public company
- Strong experience with public company reporting, securities law, and corporate governance
- Meaningful experience supporting corporate transactions or M&A
- Ability to independently manage complex matters while exercising sound legal and business judgment
- Excellent drafting, analytical, and communication skills
- Proven ability to collaborate effectively in a cross-functional, global environment
- High integrity, attention to detail, and a practical, solution-oriented mindset
Nice to have
- Prior in-house experience at a global technology or ecommerce company
- Experience working with SEC reporting, proxy statements, and investor-facing disclosures
- Familiarity with equity compensation programs and stock plan administration
- Experience supporting boards of directors and senior executives

Additional Details
The base pay range for this position is expected in the range below:
$135,200 - $219,500Base pay offered may vary depending on multiple individualized factors, including location, skills, and experience. The total compensation package for this position may also include other elements, including a target bonus and restricted stock units (as applicable) in addition to a full range of medical, financial, and/or other benefits (including 401(k) eligibility and various paid time off benefits, such as PTO and parental leave). Details of participation in these benefit plans will be provided if an employee receives an offer of employment.
