About this role  

The Corporate Counsel will serve as PlanetBids’ in-house general legal advisor, providing critical guidance on contracting, RFP review, employment law, and corporate transactions such as mergers and acquisitions. This newly created role is integral to supporting our rapid growth and strategic initiatives, helping us navigate complex legal landscapes while staying true to our mission and values. Reporting directly to the Finance Leader and CEO, the Corporate Counsel will play a key role in protecting and advancing PlanetBids’ interests as we expand our impact in the market.

Requirements

 
Role Responsibilities 

  • Contract Management: Draft, review, and negotiate a variety of agreements, including client contracts, vendor agreements, and strategic partnerships. 
  • RFP Review & Support: Review and provide input on RFPs, ensuring compliance with legal and regulatory requirements while supporting the business development team in responding effectively. 
  • Mergers & Acquisitions: Provide legal support in evaluating potential acquisitions, including due diligence, transaction structuring, and contract negotiations. 
  • Compliance & Risk Management: Develop and implement policies and procedures to ensure compliance with applicable laws and regulations, while managing legal risks across the business. 
  • Employment Law: Partner with People (HR) Leader as needed on employment-related matters, including policy development, compliance with labor laws, employee relations, and risk mitigation. 
  • Corporate Governance: Support the CEO, Finance Leader, and leadership team on corporate governance matters, board reporting, and documentation. 
  • Cross-Functional Collaboration: Partner with leaders across the organization to align legal strategy with business priorities and foster a culture of integrity and compliance. 


Required and Desired Skills 

  • Juris Doctor (JD) degree from an accredited law school; active license to practice law in Florida or California preferred. 
  • 5+ years of legal experience, with a combination of law firm and in-house experience strongly preferred. 
  • Expertise in contract law and corporate transactions (M&A experience required). Experience in Employment Law a plus. 
  • Familiarity with public procurement or SaaS/e-procurement environments is a plus. 
  • Exceptional negotiation, drafting, and analytical skills. 
  • Proven ability to thrive in a fast-paced, high-growth environment. 
  • Strong interpersonal and communication skills, with the ability to collaborate effectively across all levels of the organization. 
  • High integrity, sound judgment, and a proactive approach to problem-solving. 
  • Ability to work both autonomously as well as within a team in a remote work environment. 
  • As a requirement, all candidates must be physically based in the United States and able to legally work for any employer.

$125,000 - $150,000
