Job DescriptionYour Team:
You will be an attorney on Invesco’s Americas Legal Team and a member of the Investments and Private Markets team within Americas Legal.
Your Role:
As a Private Markets Funds Lawyer, you will play a critical role in supporting the structuring, formation, launch and maintenance of Invesco’s private credit, real estate and other alternative investment funds and supporting Invesco’s alternative investment funds platform. You will collaborate closely with Invesco’s private credit and real estate investment teams and other stakeholders to structure, form, launch and maintain alternative investment funds and assist with related governance and regulatory matters.
You will report to the Associate General Counsel – Investments and Private Markets.
You Will Be Responsible For:
Working closely with investment teams and other stakeholders to structure, form, launch and maintain private credit, real estate and other alternative investment funds.
Drafting, reviewing and negotiating fund documentation, including private placement memoranda, limited partnership agreements, subscription agreements, side letters and related legal documents.
Advising on the implementation of/compliance with global regulatory developments impactful to Invesco’s private markets business.
Providing legal advice and support on a range of issues related to fund formation, governance, operations, distribution/marketing and investor relations.
Coordinating with external legal counsel, tax advisors and regulatory consultants as necessary.
Staying current on industry trends, regulations and best practices related to private markets fund formation and governance.
The Experience You Bring:
Juris Doctor (JD) degree with an active bar membership in relevant jurisdiction(s).
6+ years of experience in investment management, with an emphasis on private credit, real estate or private equity fund formation.
Previous experience at a national law firm or as in-house counsel at a leading asset manager.
Strong understanding of alternative investment fund structures and related legal issues.
Familiarity with international fund structures and cross-border fund offerings preferred.
Proven track record of successfully forming, launching and managing complex alternative investment funds.
Experience drafting and negotiating joint venture agreements and other strategic investment transaction documents preferred.
Excellent drafting, negotiation and communication skills.
Ability to counsel stakeholders as a thought partner, with an emphasis on providing commercial, actionable legal advice.
Experience serving as a trusted advisor to leadership teams and business partners, with a proven ability to guide stakeholders through sophisticated legal, risk and strategic analyses, as well as providing on-the-fly advice to problem solve in real-time.
High degree of personal and professional integrity.
Strong collaborative working style.
The total compensation offered for this position in New York City, which includes salary and incentive pay, is $350 - $400k. The compensation will vary based on skills, experience and location.
