Realty Income is looking for a Corporate Paralegal who will support the Corporate Legal Department in its initiatives. The primary role is managing the Company’s U.S. subsidiaries, including ensuring the Company’s entity management database remains accurate and current. The Corporate Paralegal will also support the Company’s Corporate Secretary, U.S. Securities and Exchange Commission reporting, domestic and international sustainability regulatory filings and disclosures, and other fund and Company strategic transactions. 
The Corporate Paralegal will report to the Senior Vice President, Associate General Counsel, and Assistant Secretary and support the General Counsel and other attorneys within the Corporate Legal Department. The Corporate Paralegal will interact with various other team members throughout the Company and should demonstrate attention to detail, the ability to independently manage deadlines, and collaboration. 
 
What you will be working on:
Corporate Matters
  • Responsible for managing the Company’s U.S. legal entities, ensuring they remain in good standing, managing the annual reporting processing, forming and qualifying entities, FinCen registrations, officer appointments, and other entity administration, including responding to inquiries regarding the same.
  • Responsible for collaborating with attorney(s) and investment and tax teams in the designation, formation, qualification, and structuring of entities for the Company’s investments and other initiatives.
  • Collaborate with the Company’s Global Corporate Secretary Team and develop a high-level understanding of the Company’s international organizational structure.
  • Provide oversight of entity management external service providers including establishing and monitoring a budget for service providers.
  • Maintain and ensure the accuracy and completeness of the entity management database and coordinate opportunities to enhance it as they arise.
  • Demonstrate flexibility and ability to problem solve.
  • Collaborate with the tax team and external providers in entity reorganizations and dissolutions, as needed (e.g., documentation and termination of special members and directors and agent representation services)
  • Provide assistance to the debt and credit investment teams for loan-related matters (e.g., coordinate special member/independent director services)
  • Support the Corporate Secretary function including assisting with KYC, due diligence, and other similar requests and supporting board and stockholder meetings and REIT compliance  
  • Research corporate, securities, governance, and compliance issues as they may arise.
  • Support the Company’s U.S. Securities and Exchange Commission reporting and listing requirements and other regulatory reporting and public disclosures.
  • Help maintain and establish desktop procedures, templates, checklists, and documents for the corporate legal department.
 
Strategic Matters
  • Support the Corporate Legal Department with various corporate initiatives, including capital market, fund, compliance, and other activities. 
Legal Operations
  • Assist with various legal operations including scheduling, billing, expense reports, and other physical and electronic files. 
Must have knowledge, skills and abilities for the role:
  • We expect a minimum of 5 years of relevant legal experience. 
  • Undergraduate degree from an accredited U.S. university (associate or bachelor's degree or equivalent).
  • A Paralegal Certificate from an ABA-approved school (or equivalent).
  • Notary Public is required but may be obtained and maintained after employment.
  • Combination of education, training, experience, skills and other characteristics that would provide the requisite knowledge and abilities in support of the essential job functions.
Desirable but not required:
  • Experience with entity management at a large U.S. law firm and/or in-house with a U.S. public company with global operations.

The hourly rate for this role is in the range of $42.72 - $59.71. You may be eligible for an annual discretionary bonus and an annual discretionary stock award, (dependent on date of hire) to be discussed during the initial phone interview. Base salary and total compensation package determined by the candidate's experience, knowledge, education, skills, performance, and abilities, as well as internal equity, company performance, and alignment with market data.  Realty Income will be accepting applications for this role until April 18, 2025.
