Job Description

Summary

The Associate General Counsel provides legal counsel and advice on mergers, acquisitions, financing transactions (including tax equity and debt project financing), joint ventures, and capital raising transactions. This role involves structuring deals, drafting and negotiating complex agreements, conducting due diligence, managing legal risks, and collaborating with business, finance, and integration teams to ensure compliance and successful execution of strategic corporate initiatives.

Requirements

Key Job Responsibilities

  • Lead or assist with, and provide day-to-day management for, all M&A, financing transactions, joint ventures, capital raising transactions and other transactional legal matters to which the Associate General Counsel is assigned.
  • Draft, review, and negotiate primary and ancillary agreements and manage due diligence efforts related to the transactions described above. 
  • Oversee outside counsel and supervise junior attorneys and paralegals 
  • Support the business development team in preparing MOUs, LOIs and term sheets in connection with potential transactions and evaluating risks associated with that transaction and provide legal advice on ancillary activities, including the preparation of RFPs. 
  • Regular strategizing with the business development, finance, and management teams to evaluate legal risks and develop procedures to mitigate those risks.
  • Support the General Counsel with the company secretary function, managing corporate governance issues and the creation and management of subsidiaries, with support from the legal assistant and/or paralegal team.
  • Support the General Counsel with corporate policy and other legal initiatives.
  • Manage and train junior attorneys and paralegals on broad range of corporate matters.
  • Perform other projects as assigned.

Required Education

  • A law degree is required (J.D. or equivalent) from an ABA-Accredited Law School and an active attorney license in at least one U.S. jurisdiction.

Required Experience

  • Five (5) or more years of law firm experience, with considerable experience in corporate matters.
  • In-house experience is a significant plus.
  • Strong experience in M&A, finance, joint ventures, commercial lending, and general corporate matters required.

Physical Requirements

The Associate Counsel may be required to endure the following physical activities, environmental conditions, and physical demands:

  • Moving self in different positions to accomplish tasks in various environments including tight and confined spaces.
  • Remaining in a stationary position, often standing or sitting for prolonged periods.
  • Moving about to accomplish tasks or moving from one worksite to another.
  • Adjusting or moving objects up to 20 pounds in all directions.
  • Communicating with others to exchange information.
  • Repeating motions that may include the wrists, hands, and/or fingers.
  • Assessing the accuracy, neatness, and thoroughness of the work assigned.
