Job Description:
Job Summary: The Corporate Securities Counsel will serve as an advisor for senior management. The Corporate Securities Counsel will provide legal advice to the organization concerning compliance with securities laws, financial transactions and corporate governance issues.
Essential Duties and Responsibilities:
- Provide legal counsel to senior management and key business units on matters related to SEC compliance and public company reporting.
- Advise the investor relations, corporate communications, and financial reporting teams on disclosure obligations and securities law compliance, including press releases, investor materials, management presentations, and periodic filings (Forms 10-K, 10-Q, 8-K).
- Ensure ongoing compliance with applicable securities laws and regulations, including the Securities Exchange Act of 1934, Sarbanes-Oxley Act, Dodd-Frank Act, Regulation FD, and stock exchange listing requirements.
- Support corporate governance activities, including the preparation of Board and committee meeting materials, proxy statements, registration statements, and documents related to annual shareholder meetings.
- Assist in the administration of the insider trading policy and collaborate with Internal Audit and Compliance functions.
- Provide training and guidance on SEC regulations, insider trading rules, conflicts of interest, and related-party transaction protocols.
- Monitor legal and regulatory developments and provide timely updates and risk assessments to internal stakeholders.
- Serve as a trusted advisor to senior leadership, offering practical and ethical legal solutions and resolving legal matters effectively.
Education and Experience:
- Juris Doctor from an accredited law school.
- Must be admitted to the Florida Bar or eligible under its admissions rules.
- 5-7 years public company experience in-house or with a law firm and a desire to move-in house.
- Must have public company SEC compliance experience.
Skills and Abilities:
- Strong knowledge of SEC rules, federal securities laws, and corporate governance best practices.
- Ability to handle a high caseload.
- Excellent communication and interpersonal skills.
- Strong critical thinking skills.
- Proven ability to work collaboratively across departments and with executive leadership.
