The Real Estate & Hospitality Counsel will be a member of the Vail Resorts’ legal and public affairs team made up of approximately 50 attorneys, paralegals, and other professional staff.  The Vail Resorts’ attorneys are full strategic partners with their business clients, and work on some of the most challenging, sophisticated and rewarding legal matters in the industry. The Real Estate & Hospitality Counsel works side-by-side with business partners, including Real Estate and Hospitality leadership, land use planners, strategic development analysts, financial reporting, tax, HR and other subject matter experts during diligence, acquisitions, and closings. 

Responsibilities

  • Draft and negotiate complex real estate, lodging and hospitality agreements

  • Identify, analyze and communicate complex business and legal issues, particularly under the laws of

    Colorado, California, and Utah

  • Manage legal issues affecting homeowner associations and other non-profit entities. Candidates with experience in CCIOA are preferred

  • Negotiate and prepare confidentiality agreements and letters of intent for potential transaction partners

  • Advocate the company’s position on land use approvals and issues to government entities

  • Partner with other departments on a wide range of legal matters, including parking obligations, employee housing, association management, and entitlements

  • Other duties as assigned

Qualifications

  • Bachelor’s degree and JD required

  • Minimum 5 years’ of relevant legal experience relating to high volume real estate or hospitality transactions

  • Active state bar license. If out of state license, successful applicant will be required to apply for Colorado single-client bar license (or full Colorado bar license).

  • High level of proficiency with Microsoft Office suite

  • Demonstrated commitment to providing exceptional service to business clients, including being resourceful and responsive

  • Demonstrated ability to communicate clearly and concisely in English, using proper grammar and e-mail etiquette, at all levels within the organization

  • Demonstrated ability to be proactive, a team player and take responsibility for managing a variety of legal matters, collaborating effectively with the in-house legal team as well as outside counsel

  • Demonstrated ability to explain and interpret contract terms and conditions in order to provide advice and interpretation that is both practical, compelling and legally acceptable to non-legal professionals by taking into account the needs and objectives of the business

  • Demonstrated judgment and ability to analyze problems, propose resolutions, and provide advice that is creative, practical and legally acceptable, taking into account the needsand objectives of the business

  • Demonstrated ability to see the big picture along with strong attention to detail

  • Strong organizational and time management skills

  • Demonstrated ability to work under high pressure conditions and to successfully handle urgent situations with patience and diplomacy

  • Willingness to travel to Colorado and other resorts, including some overnight travel

 Preferred Skills

  • A basic understanding of corporate law and related topics, anti-trust, Sarbanes-Oxley and other regulations relevant to corporate acquisition and development activities

  • A resourceful self-starter, results and success-oriented, with the ability to ensure timely follow through by company employees

  • Solid presentation skills suitable for an audience from hourly employees to senior executives
