BAE Systems Information and Electronic Systems Integration Inc. (“Electronic Systems”) is seeking an experienced lawyer to join a dynamic team in a fast-paced environment supporting a global aerospace, defense and technology company.

This role provides the opportunity to serve as Counsel to one of BAE Systems’ largest and most prestigious business sectors. The ideal candidate will utilize his/her business insight as much as their legal knowledge and will be responsible for handling legal work relating to all aspects of both commercial transactions (including international opportunities) and U.S. Government contracts.

Because this role involves a combination of collaborative/in-person and independent work, it will take the form of a hybrid work format, with time split between working onsite and remotely. This includes the possibility of traveling and being on-site at various locations.   

As a key member of the legal team, the Counsel will provide general legal support and work to ensure the business is in compliance with and operates ethically within all relevant corporate and governmental directives, policies, regulations, and laws in its transactions and protect the company against potential claims and litigation.

Duties and Responsibilities:
  • Under general direction and in support of Deputy Chief Counsel, this position will function in a generalist role, and provide sound, pragmatic legal advice and innovative/creative solutions on a wide range of business matters, all in a manner that facilitates the achievement of business objectives.
  • Provide key support on large opportunities and proposals across the ES portfolio (counseling on complex bid and execution matters, advising on data rights issues, and negotiating terms and conditions with both customers and suppliers, among various other tasks). 
  • Development of case studies and lessons learned training and education briefings and materials. 
  • Develop “how to” procedures on targeted topics, including the legal issues identified in the case studies and lessons learned, and any obligations or requirements arising from changes to applicable procurement regulations.
  • Work with functional stakeholders to develop processes and tools aimed at creating efficiency and auditability; streamline legal function operations.
  • Conduct legal research under minimum supervision and prepare written opinions based on that research.
  • Respond quickly and guide the successful resolution of legal problems, examine various documents and data and provides counsel to all levels of management, including senior management, on best courses of action.
  • Negotiate and prepare a variety of contractual documents including, but not limited to, licenses, contracts, non-disclosure agreements, and teaming agreements.
  • Analyze, prepare, and review various matters including contractual documents to ensure protection of Electronic Systems’ interests. This role may require the successful candidate to consult with or refer matters to outside counsel as required, typically upon recommendation of the Deputy Chief Counsel, and manage such outside support effectively and within budget.
  • Assist with analysis and advice regarding litigation and pre-litigation matters.
  • When directed, conduct internal investigations under the supervision of Deputy Chief Counsel.
  • Assist in the preparation of various legal training courses.
  • Accept other tasks as assigned by the Vice President, Chief Counsel or Deputy Chief Counsel.

Required Education, Experience, & Skills:
  • A Juris Doctor degree is required.
  • The ideal candidate will have 5+ years of legal experience in a law firm, or corporate in-house setting, as well as 5+ years FAR/DFARS experience.
  • You will need excellent verbal and written skills and the ability to deal with executives and employees at all levels.
  • Must be a self-starter, able to manage and prioritize a multitude of complex and challenging situations with little supervision.
  • Willingness to continue developing professionally and continue to improve, enhance and grow your capabilities. BAE Systems believes firmly in its Code of Conduct and expects employees to have a high moral compass with unquestioned integrity and ethics.
  • Eligibility to obtain a Secret clearance.
Pursuant to a specific U.S. Government contract, selected individual must be a U.S. Person.

Desired Experience:
  • Familiarity with Intellectual Property (IP) concepts and licensing agreements.
  • Experience in a technology or product-based organization
