Goldman Sachs See More Job Openings by This EmployerThe attorney will be working on governance matters for Goldman Sachs, focusing on the firm’s public company corporate governance and related regulatory and compliance matters.
Specifically, the attorney will be involved in:
- Preparation of certain sections of the firm’s proxy statement and proxy material (including shareholder proposal opposition statements) and managing the preparation of the proxy more generally, including tracking issues and comments, preparing drafts for circulation and managing backup process
- Preparation of annual director and officer questionnaires, and managing processes relating to annual director independence determinations
- Assistance in managing processes for new director and executive officer onboarding and retirements
- Preparation of materials, including resolutions and ancillary materials such as memos and talking points, for the Board of Directors of The Goldman Sachs Group, Inc. and/or its committees
- Assistance with various regulatory and other requests for data and information relating to directors, executive officers and board matters
- Staying abreast of governance trends (including benchmarking of peer practices, such as peer proxy statements and annual meetings) and regulatory developments and reviewing and updating as necessary the firm’s governance documents, policies and guidelines
- Assist in managing the firm’s proxy distribution efforts, including in connection with its Preliminary Vote as well as annual meeting vote facilitation efforts
- Preparation for the firm’s annual shareholders’ meeting
- Preparation of the firm’s annual Federal Reserve FR Y-6 filing
- Interfacing with members of the firm’s Legal, Human Capital Management, Tax, Controllers and Executive Office departments on various public company and global governance matters
- Assistance with various other governance related matters if needed, including with respect to Section 16 filings, non-employee director compensation, board evaluations, among other things
In addition to having first-class legal skills, the ideal candidate should have public company corporate governance and securities regulatory experience. Strong project management is essential, and the candidate needs to be able to work well in a high pressure environment and juggle ever-changing priorities. A proactive, energetic and solutions-oriented approach and excellent judgment are key attributes as well. Impeccable work product and attention to detail are mandatory, given that in many cases the materials being prepared are sent directly to our board and senior management. In addition, eventually the attorney will be liaising directly with senior management, including the General Counsel, and needs to have a professional demeanor and presence and be comfortable working with senior executives. Experience in managing people is a plus, as attorney will be expected to serve as a mentor and/or formal manager to more junior team members.
