Job Description

ProFrac Holdings (ProFrac) is an innovation-driven energy services company operating in key area of the United States. ProFrac provides best in class hydraulic fracturing services utilizing cutting edge technologies as well as ancillary products and services for the oil field services sector.In support of its growth and strategic initiatives, ProFrac is seeking an experienced Corporate Counsel to join its legal team in Willow Park, Texas. Corporate Counsel is responsible for providing primarily transactional legal support for multiple company business units in a cross-functional capacity to minimize risk, ensure best practices, and to support day to day operations.Responsibilities
  • Review, negotiate, and draft a wide variety of commercial agreements, including master service
  • Develop agreement templates to be used by business units, such as work orders, sand and chemical supply agreements, and power generation
  • Work closely with business units to issue spot and advise, counsel, and influence stakeholders to foster compliance, minimize risk, and facilitate growth
  • Interface with company-retained outside counsel as well as counsel representing interests in opposition to the company
  • Recommend, review, and revise company policies
  • Perform legal research as needed concerning various state and federal legal topics
  • Escalate commercial issues to appropriate senior management as needed
  • Assist with due diligence activities
  • Stay abreast of relevant changes to areas of law that impact the company
  • Other duties as assigned
Requirements
  • Juris Doctor (J.D.) degree from an ABA-accredited law school
  • Licensed to practice law in active good standing in any state in the U.S.; Texas license preferred
  • Minimum of 2 to 3 years of related experience as a practicing attorney, ideally having worked in the oilfield industry
  • Strong PC/technical skills (Microsoft Office Suite) required
  • Ability to travel up to 10%
Preferred Knowledge/Skills/Abilities
  • Experience with drafting and negotiating complex agreements
  • Industry (E&P/Upstream/O&G) experience
  • Some title work experience
