About the Role:
This Senior Counsel position will provide legal support to internal clients primarily related to supplier contracts, disputes, and compliance matters. This position will report directly to the Chief Counsel, Intellectual Property, Technology & Procurement currently based in the United States of America.
Responsibilities
The attorney selected for this position will provide legal services with the Global Procurement group and other corporate function teams. This position requires experience in drafting and negotiating complex enterprise and cross-divisional procurement contracts for contract labor, employee benefits, software, and various other corporate services. This attorney will work cooperatively with international business clients and other legal professionals and must understand fundamental data privacy and supplier compliance processes, laws, and objectives. The role’s responsibilities include:
- Counseling procurement managers of direct and indirect goods and services on risks and legal issues facing a multi-national, largely technology and information analytics company.
- Providing legal advice and responding to requests on a timely basis from clients for input on supplier contracts, contract law, disputes, regulatory and compliance matters.
- Internal clients will include the global procurement team, human resources and benefits, government affairs, and other corporate function teams.
- Drafting, negotiating agreements and recommending revisions to relevant contract language.
- Suggesting substantive improvements to contract templates, along with efficiency improvements to contract workflow and processes.
- Providing practical guidance and advice related to contractors and other third-party service providers including major banks and financial institutions, consulting firms, global IT service staffing providers and recruitment agencies.
- Supervising supplier-related disputes, terminations, bankruptcies, and other matters, including evaluating correspondence to and from suppliers.
- Addressing routine issues and coordinating more complicated matters with specialized counsel in areas of compliance, employment, intellectual property, and privacy.
- Coordinating, when necessary, with in-house counsel colleagues in foreign jurisdictions, in specialist counsel roles, and for single-division procurement contracts and matters.
- Backing up the enterprise technology-focused procurement counsel colleague, as needed.
- Assisting in corporate or division-wide initiatives and special projects.
Candidate Profile
Successful candidates should possess the experience, knowledge, and skills as follows:
- Excellent academic record with a law degree from a respected law school;
- Proven legal experience practicing procurement and technology law, preferably in a corporate law department or for multi-national corporations and familiar with data privacy regulations;
- IAPP certification recommended;
- Excellent written and oral communication skills;
- Proven contract drafting and negotiating skills;
- Ability to expeditiously identify, prioritize, and analyze issues and provide legally sound recommendations consistent with good business practices and reason;
- Ability to multitask with a large and varied volume of active matters;
- Ability to work under tight deadlines and time constraints;
- Ability to work under stressful conditions with clients, associates, owners and others;
- Strong interpersonal skills, and ability to communicate effectively with clients located around the world and work diplomatically with individuals at all levels;
- Ability to foster relationships and individual accountability across the organization and with individuals in many different countries;
- Excellent conflict management skills, and ability to influence without coercion;
- Ability to identify opportunities for improvement and to facilitate the implementation of creative solutions;
- Ability to work independently, take ownership of and effectively resolve problems
