
The Corporate Attorney will specialize in corporate formation & governance, private placement offerings, mergers and acquisitions, and commercial contracts for businesses in the regulated cannabis, hemp, and psychedelics industries. This role involves counseling clients on corporate transactional matters within highly regulated industries. This role will involve managing basic and mid-level transactions and providing support to corporate partners in connection with complex transactional work.
Essential Functions and Responsibilities
- Provide legal counsel on corporate matters related to the cannabis, hemp, psychedelics and emerging consumer product industries, along with associated regulatory guidance associated with the transactional work.
- Advise clients on corporate transactions, including mergers and acquisitions, joint ventures, private placement financing, corporate governance, and corporate structuring.
- Analyze and interpret laws, rulings, and regulations, ensuring clients remain compliant with evolving industry standards.
- Draft, review, and negotiate a wide range of contracts, agreements, and corporate documents.
- Stay informed on developments in cannabis, hemp, and psychedelics regulations, including conflicts between state and federal laws.
- Assess legal risks, anticipate regulatory challenges, and develop strategic solutions for clients.
- Serve as a subject matter expert on corporate law and regulatory compliance, providing guidance to both clients and internal stakeholders.
- Participate in the firm’s Corporate Practice Group and contribute to business development efforts.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school.
- Licensed to practice law in at least one U.S. state, with preference for jurisdictions relevant to the firm’s client base.
- 5-10 years of experience practicing corporate law in regulated industries.
- Exceptional interpersonal skills with the ability to counsel clients and collaborate with stakeholders at all levels.
- Experience managing clients and transactions from signing to closing.
- Highly organized with strong attention to detail and the ability to manage multiple projects in a fast-paced environment.
- Excellent oral and written communication skills.
