Job Description:

We are seeking an experienced Corporate Paralegal or Corporate Governance Manager to lead and manage multi-entity corporate compliance, registrations, and governance, joint venture structuring support, and legal administrative operations across multiple states.

Duties and Responsibilities

Corporate Governance & Entity Management

  • Manage formation, dissolution and restructuring of LLCs. corporations, partnerships, and joint ventures.
  • Handle multi-state registration
  • Maintain corporate minute books and governance records
  • Prepare board resolutions, consents and governance documentation
  • Track annual reports and state compliance filings.
  • Manage registered agent relationships.

Multi-State & Joint Venture Support

  • Coordinate state registrations and licensing requirements
  • Assist with formation and documentation of joint ventures in various jurisdictions
  • Prepare template-based governance and organizational documents
  • Coordinate with tax advisors and outside counsel as needed

Legal Administrative Support

  • Draft and manage template-based loan documents and internal agreements
  • Maintain contract management systems
  • Assist in preparation of UCC filings and other secured transaction filings
  • Maintain compliance calendars across all entities

Outside Counsel Coordination

  • Serve as primary liaison with outside counsel as needed
  • Triage matters to determine what requires attorney involvement
  • Reduce reliance on external firms for administrative and routine corporate matters.

Minimum Requirements

  • 7+ years of corporate paralegal experience (multi-entity structure preferred)
  • Ability to work independently and make sound business decision within their scope of responsibility.
  • Strong experience with multi-state registrations and corporate filings
  • Experience supporting joint ventures and subsidiary structures
  • Familiarity with corporate governance best practices
  • Experience managing high document volume with strong organizational systems
  • Knowledge of compliance tracking tools and entity management platforms

Preferred Qualifications:

  • Paralegal certification
  • Experience working with Native Hawaiian organizations, tribal entities, or complex ownership.
