This is a Hybrid Position with 2 days per week in NYC office.

The Office of the General Counsel handles all legal and compliance matters, litigation oversight, contract administration, intellectual property maintenance and enforcement, risk assessment, insurance portfolio management, corporate governance, and the administration of the Office of the National Board.
POSITION SUMMARY
The Associate General Counsel will report to the General Counsel of GSUSA and will work as a team with the Office of the General Counsel on all transactional, legal, governance, and compliance matters that are handled by the Office of the General Counsel. This includes any or all of the following areas:
- Transactional support for contracts, sponsorship and license agreements, information and technology agreements, grant and donor agreements, and other contracts with third parties and councils
- Negotiate marketing services contract, software licensing, consultant/project agreements
- Provide support to management and staff on grantmaking and related monitoring activities
- Intelllectual Property management and enforcement
- Employment law
- Litigation oversight and management
- Data privacy
This position will also assist in setting the tactical direction of the OGC to align with the vision, strategy, and objectives of the OGC and GSUSA.
ESSENTIAL RESPONSIBILITIES - Primary duties of the position
- Leads work within the OGC on all matters, which may include intellectual property, employment law, litigation support, and data privacy.
- Draft, review, negotiate, and interpret contracts of varying complexity that protect Girl Scouts of the USA and help to assess and mitigation risk. Contracts span a wide field of GSUSA business requirements including technology platforms and services, software licensing and development agreements, licensing and sponsorship agreements, and grant/donor agreements.
- Trains and works closely with other units and attorneys to apply vast and fundamental knowledge of how to identify and mitigate risk in contracts to protect GSUSA and the Movement.
- Has the ability and authority to negotiate and convince others both internally and externally to reach agreement on accepted initiatives through discussion and compromise.
- Works closely and sets the tactical direction of the OGC to ensure that it aligns with the vision, strategy, and objectives of the OGC and GSUSA.
- Skilled at planning and executing on critical projects at GSUSA.
- Identifies and implements improvements and enhancements to existing processes within the OGC and GSUSA and addresses complex issues, initiates processes and programs which align with the strategic direction of the OGC.
- Interacts with Senior Leadership to receive and provide updates on strategic planning that impacts the OGC.
- Builds and enhances high level internal and external relationships of key importance.
- Represents the Office of the General Counsel in various groups and committees within the organization, as needed.

Salary Range: $140,000 - $185,000
This represents the present low and high end of the pay range for this position. Actual pay will vary based on various factors, including but not limited to experience.

POSITION TYPE / EXPECTED HOURS OF WORK: This is a full-time position. Days and hours of work are Monday through Friday with a 35 hour per week schedule. Occasional evening and weekend work may be required as job duties demand.
