Summary
The Assistant General Counsel provides legal support across a broad range of business operations, serving as a trusted advisor to internal stakeholders while managing day‑to‑day legal matters and associated risks. Reporting to the Executive Vice President & General Counsel, this role supports commercial transactions, corporate governance, employment matters, compliance initiatives, and dispute management, partnering closely with business leaders to deliver practical, business‑focused legal guidance aligned with company objectives.
Essential Duties & Responsibilities
General Legal Advice & Business Support
- Provide practical, solutions‑oriented legal advice to management and internal business partners across operations, HR, finance, supply chain, and commercial teams
- Support the General Counsel in advising executive leadership on legal and risk matters impacting business operations and growth
- Research legal issues and prepare legal memoranda, risk assessments, and recommendations as needed
- Assist in the development, implementation, and communication of company legal policies, procedures, and training materials
Corporate Governance & Entity Management
- Support corporate governance activities for domestic and foreign entities, including:
- Entity formation, dissolution, and maintenance
- Drafting and maintaining corporate records, consents, and minutes
- Assisting with subsidiary compliance and qualifications
- Assist the General Counsel with corporate secretarial functions as needed
Commercial Contracts & Transactions
- Draft, review, and negotiate a wide range of commercial agreements, including:
- Customer and vendor contracts
- Master services agreements
- Non‑disclosure agreements
- Equipment, logistics, and real estate leases
- Software and technology agreements
- Identify legal, commercial, and operational risks within contracts and propose mitigation strategies consistent with Company policies and risk tolerance
- Support due diligence efforts related to acquisitions, divestitures, joint ventures, or other strategic transactions
Employment Law & Human Resources Support
- Advise HR leadership on employment‑related matters, including employee relations, investigations, disciplinary actions, terminations, and policy interpretation
- Support compliance with federal, state, and local employment laws and regulations
- Assist in the management of employment‑related disputes and claims
Compliance, Ethics & Risk Management
- Support the General Counsel in administering the Company’s ethics and compliance programs, including:
- Code of Conduct
- Anti‑bribery and corruption (e.g., FCPA)
- Export controls and sanctions
- Assist in internal investigations and compliance reviews, coordinating with outside counsel where appropriate
- Help develop and deliver legal and compliance training to employees and leadership teams
Litigation & Dispute Management
- Assist in managing litigation, claims, and regulatory matters, including:
- Coordinating with outside counsel
- Managing discovery, filings, and responses
- Monitoring costs and budgets
- Support resolution strategies, including settlement evaluations and risk assessments
Intellectual Property Support
- Support the protection and management of the Company’s intellectual property portfolio
- Coordinate with engineering, operations, and outside counsel on IP‑related matters, as appropriate
Education & Certifications
- Juris Doctor (JD) from an ABA‑accredited law school
- Active license and good standing with at least one U.S. state bar (Texas preferred)
- Minimum 5–7 years of legal experience, with a combination of:
- Law firm experience, and/or
- In‑house legal experience supporting business operations
- Experience supporting regulated or industrial industries (e.g., energy, oilfield services, manufacturing, infrastructure) preferred
- Experience in one or more of the following areas:
- Commercial contracting
- Corporate governance
- Employment law
- Compliance and investigations
- Litigation management
Work Experience
- Minimum 6 years’ experience in commercial transactions
- Strong background and understanding of the oil and gas service and midstream industries; knowledge of the compression industry a plus
Knowledge, Skills & Abilities
- Strong legal judgment with the ability to translate legal risk into practical business guidance
- Excellent written and verbal communication skills
- Ability to manage multiple matters simultaneously in a fast‑paced environment
- Highly organized, detail‑oriented, and capable of working independently
- Strong interpersonal skills and ability to collaborate cross‑functionally
- Comfortable working with senior leadership and influencing decision‑making
- Ability to exercise discretion and maintain confidentiality
Physical Demands
- Must be able to remain in a stationary position 75% of the time
- Constantly operate a computer and other office productivity machinery, such as a copy machine and computer printer
- Frequently communicates with other employees about their legal inquiries. Must be able to exchange accurate information in these situations
- Must be able to work under pressure and occasional long or irregular hours
