Commercial Counsel

The Commercial Counsel role will serve as the primary support to our General Counsel for our worldwide business. Reporting to the General Counsel, the successful candidate will provide efficient, effective and commercially minded legal counsel to minimize risk and ensure a robust compliance regime.

Responsibilities:

• Draft, review, and negotiate major and/or non-standard technology contracts with public and private sector customers, including licensing agreements and professional services agreements for enterprise customers
• Assist in managing the company’s corporate records and governance
• Oversee Contracts team
• Identify legal and commercial risks and issues and assist with the development of
• solutions
• Keep up to date on changes to legislation, regulation, and relevant legal topics across multiple jurisdictions
• Serve as primary attorney on commercial deals and corporate governance with escalations to General Counsel

Qualifications:

• Member in good standing with the Florida Bar authorized to practice in house in Florida (able to travel to Tampa one week per month or reside in Tampa)
• At least 4 years combined experience at a law firm or in-house
• Solid understanding of corporate, commercial, and intellectual property law and contractual principles and experience drafting and negotiating technology-related subscription agreements for cloud-based offerings
• Flexible, positive, and well-organized team player, comfortable working with a software and technology environment
• Ability and desire to work independently and with little oversight
• Ability to clearly communicate and present ideas and results to diverse business and technical audiences

Location: Tampa, FL

While we offer flexibility, this role includes an expectation of being onsite three days a week in our Tampa office to support team alignment and cross-functional collaboration.
