Job Description

DEPARTMENT: Entertainment Group & Corporate Group

SCHEDULE/STATUS: Monday – Friday, 10AM to 6PM, 4 days in office (hybrid), with overtime flexibility, Full-Time/Non-Exempt

SUPERVISOR: Entertainment Partners & Corporate Partners

LOCATION: New York City

SALARY: The salary for this position is $70,000 – 80,000, plus overtime.

Our Entertainment Group represents clients in the motion picture, television, theatre, news, podcast, radio, fashion and music industries, including actors, writers, directors, producers, radio, television and podcast personalities, playwrights, composers, musicians, comedians, models, and designers. 

Our Corporate Group represents  emerging and established companies, entrepreneurs, business owners, buyers, sellers, investors, consultants, bankers, finders, franchisors, franchisees, exempt organizations, and creative talent in the media, entertainment, advertising, fashion, information technology and innovation industries.

We are seeking a transactional paralegal to help support both the Entertainment Group and the Corporate Group. 

The paralegal will work closely with partners, counsel, and associates in negotiating and closing mergers and acquisitions, film finance and motion picture distribution transactions, equity and debt financings, as well as agreements for actors, writers, directors, and producers in the motion picture and television industries. This position affords a unique opportunity to become an integral part of an internationally recognized law firm and to work with top attorneys in their respective field. 

 

PRIMARY JOB FUNCTIONS

  • Prepare checklists for debt and equity financings, loan and M&A closings;
  • Review chain of title documents;
  • Prepare and file security documents;
  • Prepare filings with the US Copyright Office;
  • Order and review UCC and lien searches;
  • Assist with the formation of limited liability companies and corporations;
  • Draft and file corporate formation documents and qualification documents;
  • Assist with stock issuances, including preparing stock certificates;
  • File merger certificates and other statutory documents with state agencies;
  • Assist with Form D and Blue Sky filings;
  • Set up and maintain capitalization tables on electronic cap table management platforms;
  • Assist with the creation of equity plans and the issuance of stock options through electronic equity management platforms;
  • Assist in preparing disclosure schedules;
  • Drafting board and stockholder written consents and resolutions;
  • Assist with NY publication requirement for LLCs;
  • Maintain corporate minute books and stock ledgers;
  • Maintain records of officer and director appointments;
  • Manage filing deadlines for annual reports, franchise tax filings, and registered agent renewals;
  • Collect, organize and compile signature pages for closings;
  • Draft ancillary loan and M&A closing documents, such as secretary certificates and officer certificates;  
  • Organize and maintain virtual data rooms for due diligence, and assist with organizing diligence materials for attorney review;
  • Perform basic diligence review (e.g., reviewing minute books, identifying missing documents);
  • Revise agreements based on attorney instructions;
  • Work with attorneys throughout contract negotiations;
  • Draft transmittal letters and other correspondence;
  • Research union and guild rules and tax credit incentives;
  • Obtain EIN’s from the IRS;
  • Create closing binders;
  • Draft and revise various types of contracts;
  • Assist the corporate paralegal with mandatory filings; and
  • Perform other related duties as assigned.

  • Excellent verbal/written communication skills;
  • Exceptional organizational skills;
  • Strong and resourceful (online) research skills;
  • Detail-oriented;
  • Ability to balance many tasks and work within deadlines; and
  • Ability to work autonomously and as part of a team.

 

EDUCATION AND EXPERIENCE

  • Bachelor’s degree required.
  • Minimum two (2) years of experience as a paralegal at a law firm, production company or studio.
  • Proficiency with Microsoft Office.
