Job Description

The Corporate Counsel, Business position supports Cooper Steel's goals, values, and philosophy by exhibiting excellence, quality service, commitment, and accountability through providing legal guidance and support across the organization to ensure compliance with laws, regulations, and company policies.

If you’re ready to build with us, we’re looking for someone:
  • With a Juris Doctorate Degree, active Tennessee law license with no record of discipline
  • With a minimum of three (3) years as a licensed and practicing attorney, either in private practice or in-house – contract review/negotiation, real estate transactions, business transactions, and/or civil litigation experience preferred
  • Communication-driven with excellent interpersonal skills, able to work with a diverse range of individuals and effectively convey complex legal concepts to non-attorney team members and make recommendations to executive management
  • Detail-oriented and exceptional in time management, able to multitask, maintain organization, meet deadlines under pressure, and work independently or as part of a team
  • With highly developed confidentiality, professionalism, and judgment skills
  • Proficient and comfortable with Microsoft Office and other computer applications
  • Driven to give every task the maximum effort and show up with initiative
  • Excited and able to travel up to 20% of the time for litigation and business matters

  • Develop a thorough understanding of the company's business and transactions
  • Draft, review, analyze, and negotiate contracts
  • Research and analyze legal issues, statutes, regulations, and cases and prepare memoranda
  • Provide legal guidance to corporate leadership on various business and risk related matters
  • Coordinate and supervise work performed by outside counsel for business related matters, acting as internal support to outside counsel
  • Participate in the development of corporate policies, procedures, and programs
  • Provide support and legal expertise for the compliance and internal audit functions
  • Assist executive leadership with other legal needs of the company and support the Chief Legal Officer, as needed
