Job Description

UFG is currently hiring Corporate Counsel to focus on contracts, insurance and reinsurance. In this role you will be responsible for drafting, reviewing and finalizing formal documentation memorializing terms and conditions applicable to commercial contracts, agency/broker agreements and reinsurance treaties. You will be challenged to learn and remain well informed of industry concepts and developments, as well as trends and regulations to remain competitive.

Essential Duties and Responsibilities: 

  • Draft, review and negotiate a broad range of contracts, including reinsurance treaties, agency/broker agreements, vendor/service agreements, software licenses/SaaS agreements, and commercial real estate leases
  • Identify terms that vary from company standards and policies to ensure consistency, alignment with company strategies and appetite, compliance with laws and regulations, and recommend appropriate modifications
  • Collaborate closely with the vendor management team to develop and maintain standard vendor contract templates, playbooks and SLA terms
  • Support the development and implementation of a library of preferred reinsurance provisions, and formalized contract review procedures
  • Stay updated on insurance/reinsurance rulings, legal, regulatory, and emerging issues, modifying or drafting new contract terms as necessary
  • Oversee components of the insurance regulatory function, including management of data call requests, periodic reporting to state agencies, and other ad hoc requests (e.g., sustainability disclosures)
  • Develop specialized knowledge of particular lines of business or structures
  • Assist in corporate governance and risk management activities as they pertain to reinsurance
  • Provide accurate and timely counsel to the different internal business units and executives on a variety of legal topics, including analysis of contract terms and conditions, and strategies for resolving contract disputes
  • Assist in improving and maintaining contract workflows, document management and retention procedures and other company policies and records
  • Champion a robust contract lifecycle management process
  • Develop and deliver training on contract and regulatory issues to business stakeholders
  • Undertake special projects and tasks as needed, addressing unique legal challenges and supporting new business initiatives in a dynamic environment

Job Specifications: 

Education: 

  • Juris Doctor (JD) degree from an accredited law school
  • Admission to at least one U.S. state bar

Experience: 

  • Extensive experience (6+ years) drafting, reviewing and interpreting insurance, reinsurance and/or commercial contracts, preferably gained at an insurance or reinsurance company
  • Experience in reinsurance (Ceded, Assumed, FAL) strongly preferred
  • CPCU or Are designation desirable

Knowledge, skills & abilities: 

  • Advanced knowledge of contract terms, conditions and legal ramifications
  • Demonstrated interest in expanding knowledge into new practice areas, including corporate governance and evolving ESG reporting obligations
  • Strong knowledge of insurance and reinsurance principles, contract structures, and regulatory requirements.
  • Excellent communication and interpersonal skills
  • Strong negotiation and contract management skills
  • Ability to manage multiple tasks and work effectively under pressure
  • Keen analytical abilities and excellent judgment, a pragmatic approach to problem solving, flexibility to adapt and thrive in an environment that is constantly changing, and the ability to make smart decisions in the face of ambiguity and imperfect information

Working Conditions: 

  • General Office Environment
  • Must be available for occasional business travel. Estimated to be 5% of time or less.

Pay Transparency Laws 

The salary range for this position (intended for U.S. applicants) is $110,000 - $135,000 USD. The actual salary will vary based on applicant’s education, experience, skills, and abilities, as well as internal equity and alignment with market data. The salary may also be adjusted based on applicant’s geographic location.
