Job Description
This position is responsible for supporting the legal and governance functions of the Company by conducting legal research, drafting memoranda, managing regulatory filings, and assisting with contract reviews. This position also provides key support to attorneys in intellectual property matters and corporate governance. As Assistant Board Secretary, the role ensures the effective coordination of Board and Committee activities, manages governance documentation, and administers the Company’s long-term incentive program. The individual in this role must demonstrate strong legal acumen, organizational skills, effective communication skills, and the ability to manage multiple responsibilities in a fast-paced environment. This individual will also support certain senior executives who exercise governance and administrative oversight of corporate functions.
Job Profile Tasks/Responsibilities
- Legal Support Responsibilities
- Conduct legal research utilizing federal/state judicial and government agency platforms (e.g., Nuclear Regulatory Commission) and Lexis legal research databases to analyze relevant laws, regulations, and legal precedents.
- Draft comprehensive memoranda on a broad range of legal topics.
- Review and edit basic contract provisions for further evaluation by attorneys.
- Proofread and edit document drafts.
- Maintain and oversee company and subsidiary registrations, permits, and licenses at the state and federal levels in coordination with regulatory bodies and external agencies.
- Assist attorneys with intellectual property filings, including trademark and patent support.
- Provide certified notarial services as needed.
- Organize and manage Company governance records to ensure compliance and accessibility.
- Assistant Board Secretary Responsibilities
- Support all Board of Directors and Committee activities and meetings as required.
- Assist with the preparation and distribution of Board and Committee materials and to execute Board Secretarial duties; Board meetings are generally held in Rockville, MD; however, travel will be required if Board meetings are held outside of Rockville, MD, which may include traveling to Board meeting locations (if held outside of Rockville, MD).
- Draft timely and accurate Board and Committee minutes for review.
- Manage and maintain the Diligent Boards software platform and associated equipment (e.g., iPads) provided to Board members.
- Oversee and coordinate administrative staff in Board meeting preparation, scheduling, travel, and event logistics.
- Equity Program Administration Responsibilities
- Administer and oversee the Company’s long-term incentive program, ensuring compliance with internal policies and regulatory requirements.
- Utilize platforms such as Carta or similar software for cap table management and input.
- Maintain professional demeanor and behavior at all times in all forms of communication.
- Perform other duties as assigned by manager.
Job Profile Minimum Qualifications
- Bachelor’s degree in area relevant to role from an accredited university.
- Paralegal certification.
- Basic skills with Microsoft Office Suite.

As required by Maryland and other applicable state law, X Energy, LLC (X-energy) lists the expected compensation range for a publicly advertised job opportunity based upon the job requirements (e.g. education/training, experience, skill sets, etc.).
