MORTGAGE & COMPLIANCE COUNSEL
This position, reporting to the Assistant General Counsel, is responsible for overseeing the mortgage regulatory compliance program for Motto® Mortgage, our mortgage brokerage franchising business, and wemlo®, our national third-party mortgage loan processing business (the “mortgage segment”). This position will also help prepare franchise-related documents and advise the business on franchise relationship issues.
Primary Duties and Responsibilities:
Mortgage Compliance and Business Advice:
- Provide proactive, business-oriented and strategic advice to business clients on legal and regulatory matters impacting the mortgage brokerage franchising and mortgage loan processing businesses.
- Help maintain compliance with federal and state laws impacting the mortgage brokerage franchising and mortgage loan processing businesses. Track, and communicate within the business, changes to such laws.
- Monitor and maintain federal and state mortgage broker loan disclosures utilized by mortgage brokerage franchisees.
- Provide strategic advice to business technology team regarding the company’s proprietary loan origination system.
- Review advertising and marketing materials promoting the businesses to ensure compliance with state/federal mortgage advertising laws and regulations, and company brand standards.
- Supervise mortgage compliance manager who provides compliance support to the mortgage segment and oversees the mortgage loan processing company’s compliance management program.
- Administer the company’s compliance management program.
- Ensure regulatory policies and procedures are current and comprehensive.
- Develop and deliver training and documentation to employees, franchisees and loan originators covering all aspects of mortgage-related compliance.
- Maintain, review, negotiate, and revise as needed third-party vendor agreements required to support Motto Mortgage franchisees and wemlo clients.
U.S. Franchising:
- Prepare franchise-related agreements and other documents for the mortgage franchising business, including updates to Franchise Disclosure Documents and Franchise Agreements, and conduct related due diligence, either independently (if the candidate has prior experience in this area) or under the supervision of an experienced in-house franchising attorney, as appropriate.
- Counsel clients regarding franchise relationship laws and other laws concerning terminations, renewals, transfers, territorial issues, and tortious interference, and negotiate to resolve disputes in these areas.
Additional Responsibilities:
- Supervise outside counsel work on compliance, franchise and litigation matters pertaining to the mortgage segment.
- Conduct legal review of educational materials for real estate professionals affiliated with RE/MAX, one of the leading global real estate franchisors and an affiliate of Motto and wemlo.
- Provide cross-support for other attorney responsibilities on an as-needed basis, as assigned by the Assistant General Counsel and the General Counsel/Chief Compliance Officer.
Minimum requirements:
Education:
J.D. degree from an ABA-accredited law school.
Experience:
4+ years of practice in a corporate legal or compliance department with experience in the mortgage origination industry. Law firm experience may be an acceptable substitute depending on the nature of the practice. Substantial knowledge of mortgage laws, including but not limited to RESPA, TILA, ECOA, S.A.F.E. Act, GLBA, and state regulations. Admission to the Colorado bar, or active admission to another state’s bar and willingness to become admitted in Colorado (Single-Client Counsel Certification under C.R.C.P. 204.1 may be considered only for attorneys from non-reciprocal jurisdictions who are ineligible for admission on motion).

Salary Range:
$140,500 - $200,000
Actual compensation offered to candidate will be finalized at offer and may be above or below the posted range due to skill level, experience, industry specific knowledge, education/certifications, or geographic location. This position is eligible for an annual Long-Term Incentive (LTI) grant in Restricted Stock Units. All equity grants are made at the discretion of the Board of Directors.
