Job Description

Oberman Law Firm, a nationally recognized law firm, is seeking a highly organized and detail-oriented Legal Assistant/Paralegal to assist with a range of business transactional and M&A matters. The position supports attorneys in entity formation, contract drafting, and business compliance, as well as handling documentation for mergers and acquisitions, including buy-sell agreements and due diligence. The ideal candidate will have a strong understanding of transactional workflows, the ability to manage complex document sets, and experience working with clients and third-parties.

Key Responsibilities:

  • Assist in the formation and governance of business entities (LLCs, corporations, partnerships).
  • Draft and revise basic to moderately complex contracts such as service agreements, NDAs, and buy-sell agreements.
  • Maintain and organize client corporate records, resolutions, and annual filings
  • Monitor key contract dates, renewals, and compliance deadlines
  • Prepare engagement letters, document transmittals, and internal checklists
  • Prepare and organize M&A documentation, including Letters of Intent (LOIs), Confidentiality Agreements, Asset Purchase Agreements, Stock Purchase Agreements, and Buy-Sell Agreements
  • Draft and manage closing checklists, signature pages, and transaction binders (as needed).
  • Assist with the preparation and tracking of schedules to M&A agreements
  • Coordinate and track due diligence processes, including data room management and document requests/responses
  • Review and summarize contracts and corporate documents for disclosure schedules
  • Act as a liaison between clients, opposing counsel, accountants, and third-party advisors to collect and verify documentation

Qualifications:

  • Bachelor’s degree
  • Minimum of 2–4 years of Legal Assistant/Paralegal transactional and M&A experience
  • Be a self-starter and have the ability to work independently
  • Drive projects forward and managed deadlines with minimal supervision
  • Superior attention to detail
  • Excellent oral and written communication skills
  • Demonstrated experience handling business contracts, M&A deals, or commercial transactions
  • Proficiency with Microsoft Office Suite, Adobe Acrobat, ShareFile and legal document management platforms (e.g., MyCase, Clio)
  • Excellent organizational and communication skills
  • Maintain confidentiality
  • Experience managing closing logistics and post-closing documentation
